Title and Quiet Enjoyment. The Landlord covenants and represents that the Landlord is the owner of the Premises and has the right and authority to enter into, execute and delivery this Lease and does further covenant that the Tenant, on paying the rent and performing the conditions and covenants herein contained, shall and may peaceably and quietly have, hold and enjoy the Premises for the term of the Lease.
Title and Quiet Enjoyment. Subject to Section 18 below, Landlord hereby represents, warrants and covenants that it has good and marketable fee simple title to the Leased Premises, that the same is subject to no other leases, tenancies, agreements, encumbrances (including delinquent taxes), liens or defects in title affecting said property or the rights granted Tenant in this Lease. Landlord further covenants that there are no restrictive covenants, zoning or other local ordinances or regulations which will prevent Tenant from using and occupying the Leased Premises for a current Good Manufacturing Practices ("CGMP") laboratory and support area. Landlord further represents, warrants and covenants that it has good and marketable title to all Fixtures and Equipment and that same are subject to no leases, agreements, encumbrances, liens or defects in title affecting said property or the rights granted Tenant in this Lease. Landlord covenants and agrees that during the Term, Tenant shall, upon paying the rent and performing the covenants of this Lease on its part to be performed, peaceably and quietly have, hold and enjoy the Leased Premises and Fixtures and Equipment and all rights granted Tenant in this Lease.
Title and Quiet Enjoyment. SELLER has good and marketable title to all of the Assets. All the Assets are free and clear of restrictions on or conditions to transfer or assignment, and are free and clear of all defects of title, mortgages, liens, pledges, leases, charges, encumbrances, equities, claims, conditional sale contracts, easements, rights of way, security interests, covenants, conditions, or restrictions.
Title and Quiet Enjoyment. Town warrants that (i) the Town owns the Property and (ii) it holds good and marketable title to the Property and that, provided Xxxxxx has made rental payments as required hereunder, Lessee shall have quiet enjoyment of the Premises.
Title and Quiet Enjoyment. Landlord warrants and covenants to Tenant that Landlord has the right and lawful authority to enter into this Lease for the term (including renewal options) and that Landlord is vested with good, unencumbered and marketable fee title to the Premises, except for such matters which will not prevent Landlord's performance of its obligations under this Lease or materially and adversely interfere with Tenant's exercise and enjoyment of its rights under this Lease. So long as Tenant shall pay all rents and observe and perform all covenants and provisions hereof, Tenant shall peacefully and quietly have and enjoy possession of the Premises without any encumbrance or hindrance by, from or through Landlord, except that Landlord shall have the right to enter upon the Premises during Tenant's regular business hours for inspection purposes so long as such entry shall in no way disrupt the conduct of Tenant's regular business.
Title and Quiet Enjoyment. Licensor represents and warrants that (a) it has full right, power, and authority to execute this Agreement, (b) it has obtained all necessary approvals and consents, and has taken all necessary action to enable Licensor to enter into this Agreement and allow Licensee to install and operate the Antenna Facility on the Premises, including without limitation, approvals and consents as may be necessary from other Licensees, licensees and occupants of the Property, (c) that Licensee shall have quiet and peaceable possession of the Premises throughout the Agreement term and (d) to the best of the Village’s information and belief, the Property and access rights are free and clear of all liens, encumbrances and restrictions except those of record as of the Effective Date.
Title and Quiet Enjoyment. Seller has, and at the Closing will convey to Buyer, good and marketable title to the Customer List, free and clear of all liens, pledges, leases, charges, encumbrances, equities, claims, conditional sale contracts, security interests, or any other interests or imperfections of title of any nature whatsoever.
Title and Quiet Enjoyment. Licensor represents and warrants to Licensee that, upon Licensee’s keeping, observing and performing all the terms, covenants, conditions, provisions and agreements required of Licensee in this MLA and in each SLA, Licensee shall have quiet enjoyment of each Licensed Site during the Term.
Title and Quiet Enjoyment. (a) Lessor represents and warrants that it has full right, power, and authority to execute this Lease. Lessor further warrants that Lessee shall have quiet enjoyment of the Premises during the Term of this Lease. Lessor hereby represents and warrants that it has obtained all necessary approvals and consents, and has taken all necessary action to enable Lessor to enter into this Lease and allow Lessee to install and operate Lessee’s Facilities on the Premises, including without limitation, approvals and consents as may be necessary from other tenants, licensees and occupants of Lessor’s Property.
(b) Lessee has the right to obtain a title report or commitment for a leasehold title policy from a title insurance company of its choice. If, in the opinion of Lessee, such title report shows any defects of title or any liens or encumbrances which may adversely affect Lessee’s use of the Premises, Lessee shall have the right to terminate this Lease immediately upon written notice to Lessor.
Title and Quiet Enjoyment. The Landlord covenants and represents that the Landlord is the owner of the Project and the Premises located therein and has the right and authority to enter into, execute and deliver this Lease; and does further covenant that Tenant on paying the rent and performing the conditions and covenants contained in this Lease shall and may peaceably and quietly have, hold and enjoy the Premises for the Lease Term and the Renewal Term, as applicable. PARAGRAPH 55TH - ENTIRE AGREEMENT This Lease contains the entire agreement between the parties. No representative, agent or employee of the Landlord has been authorized to make any representations or promises with respect to the leasing of the Premises or to vary, alter or modify the terms hereof. No additions, changes or modifications, renewals or extensions hereof will be binding unless reduced to writing and executed by both the Landlord and Tenant. PARAGRAPH 56TH - CONFORMITY WITH LAWS AND REGULATIONS Landlord may pursue the relief or remedy sought in any invalid clause or provision of this Lease, by conforming the said clause or provision with the provisions of the statutes or regulations of any governmental agency in such case made and provided as if the particular provisions of the applicable statutes or regulations were set forth herein at length. In all references herein to any parties, persons or entities, the use of any particular gender or the plural or singular number is intended to include the appropriate gender or number as the text of the within instrument may require. All the terms, covenants and conditions herein contained shall be for and shall inure to the benefit of and shall bind the respective parties hereto, and their heirs, executors, administrators, personal or legal representatives, successors and assigns.
