Title and risk in the Goods. 8.1 The title to and risk in the Goods does not pass to us until:
(a) we accept the Goods after inspection; or
(b) in the event that the Goods are Defective Goods, we elect to make good the defects in the Defective Goods.
8.2 You warrant that at the time of delivery of the Goods:
(a) you have full ownership of the Goods free of any liens, charges and encumbrances and are supplying the Goods to us on that basis; and
(b) we will be entitled to full, unencumbered and quiet possession of the Goods.
Title and risk in the Goods. 8.3 The title to and risk in the Goods does not pass to Cairns Airport until the Goods are inspected and accepted in accordance with clause 7.
8.4 The Supplier warrants that at the time of delivery of the Goods:
(a) The Supplier has full ownership of the Goods free from any liens, charges and encumbrances and are supplying the Goods on this basis; and
(b) Cairns Airport will be entitled to full, unencumbered and quiet possession of the Goods.
Title and risk in the Goods. (a) Port Authority retains ownership of and title in Port Authority Equipment at all times and nothing in the Agreement confers on Supplier any property right of any kind in any Port Authority Equipment.
(b) Risk of any loss or damage to Port Authority Equipment will pass:
(i) from Port Authority to Supplier when Supplier takes possession, custody or control of the Port Authority Equipment; and
(ii) from Supplier back to Port Authority on the later of Delivery or Acceptance of the applicable Work or Services in accordance with the Agreement.
(c) Risk of any loss or damage to a Good will pass from Supplier to Port Authority on the later of Delivery or Acceptance of the Good in accordance with the Agreement.
(d) Subject to clause 8(e), ownership of, and unencumbered title in, the Goods or any part of them will vest in Port Authority upon the earlier of Acceptance of or payment for a Good.
(e) Where payment for a Good occurs before Acceptance and the Good is subsequently rejected under clause 7, title in the rejected Good will re-vest in Supplier from the time of rejection until the Good is Accepted by Port Authority.
Title and risk in the Goods. (a) The Goods remain at the Supplier's risk until they are delivered to the Delivery Point and, if applicable, installed and accepted in accordance with clause 3.2(b).
(b) Subject to clause 3.2(e), title in the Goods passes to Atlantic on acceptance of the Goods by Atlantic at the Delivery Point, as evidenced by the relevant Goods receipt issued by Atlantic to the Supplier or any other document evidencing acceptance, as set out in the relevant Purchase Order.
(c) The Supplier must not claim any lien over the Goods and must defend and indemnify Atlantic against any lien, attachment or third party claim on the Goods.
(d) The Supplier must do all things (including executing all documents at any time) and provide all information reasonably required by Atlantic to enable Atlantic to lawfully register any charge or other interest in the Goods (including registration on any applicable provincial or territorial Personal Property Registry established under applicable personal property security legislation) so as to ensure Atlantic's rights under the Purchase Order are not adversely affected.
Title and risk in the Goods. 8.1 The risk in the Goods will pass to the Client on completion of delivery at the Delivery Location.
8.2 Title to the Goods will not pass to the Client until 4SIGHT has received payment in full (in cash or cleared funds) for the Goods and any other goods that 4SIGHT has supplied to the Client in respect of which payment has become due.
8.3 Until title to the Goods has passed to the Client, the Client will:
8.3.1 hold the Goods on a fiduciary basis as 4SIGHT's bailee;
8.3.2 where practicable, store the Goods separately from all other goods held by the Client so that they remain readily identifiable as 4SIGHT's property;
8.3.3 not remove, deface or obscure any identifying mark or packaging on or relating to the Goods;
8.3.4 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on 4SIGHT's behalf from the date of delivery;
8.3.5 notify 4SIGHT immediately if it becomes subject to any of the events listed in Clause 17.2.2; and
8.3.6 give 4SIGHT such information relating to the whereabouts and status of the Goods as 4SIGHT may reasonably require from time to time, but the Client may use the Goods in the ordinary course of its business.
8.4 If, before title to the Goods passes to the Client, the Client becomes subject to any of the events listed in Clause 17.2.2, or 4SIGHT reasonably believes that any such event is about to happen and notifies the Client accordingly, then, provided the Goods have not been resold, or irrevocably incorporated into the Client's Equipment or another product, and without limiting any other right or remedy 4SIGHT may have, 4SIGHT may at any time require the Client to deliver up the Goods and, if the Client fails to do so promptly, 4SIGHT is hereby granted an irrevocable license to enter any Client Sites during Normal Business Hours on not less than one Business Days’ notice, or where the Goods are stored on the premises of a third party, the Client shall procure forthwith a licence for 4SIGHT to enter such premises in order to recover them.

(b) Subject to clause 3.2(e), title in the Goods passes to SGCL on acceptance of the Goods by SGCL at the Delivery Point, as evidenced by the relevant Goods receipt issued by SGCL to the Supplier or any other document evidencing acceptance, as set out in the relevant Purchase Order.
(c) The Supplier must not claim any lien over the Goods and must defend and indemnify SGCL against any lien, attachment or third party claim on the Goods.
(d) The Supplier must do all things (including executing all documents at any time) and provide all information reasonably required by SGCL to enable SGCL to lawfully register any charge or other interest in the Goods (including registration on the Personal Property Securities Register established under the PPSA) so as to ensure SGCL's rights under this Purchase Order are not adversely affected.

(d) The Supplier must do all things (including executing all documents at any time) and provide all information reasonably required by St Xxxxxxx to enable St Xxxxxxx to lawfully register any charge or other interest in the Goods (including registration on the Personal Property Securities Register established under the PPSA) so as to ensure St Barbara's rights under this Purchase Order are not adversely affected.
Title and risk in the Goods. 8.1 The title to and risk in the Goods does not pass to RUC until:
(a) RUC accept the Goods after inspection; or
(b) in the event that the Goods are Defective Goods, RUC elect to make good the defects in the Defective Goods.
8.2 The Supplier warrants that at the time of delivery of the Goods:
(a) The Supplier has full ownership of the Goods free of any liens, charges and encumbrances and are supplying the Goods to RUC on that basis; and
(b) RUC will be entitled to full, unencumbered and quiet possession of the Goods.
