Transition Coordinators. Each Party shall designate a single person (each, a “Transition Coordinator”) who shall oversee contact between the Parties for all matters related to the performance of the technology transfer and Transition Services contemplated by Schedule 4.1 and Schedule 4.2, and through whom all significant communications related thereto shall be channeled. Each Party may replace its Transition Coordinator at any time, upon at least five (5) day’s prior written notice to the other Party. The initial Transition Coordinators are set forth on Schedule 4.3.

Transition Coordinators. Each Party shall appoint one Transition coordinator (each a “Transition Coordinator” and collectively, the “Transition Coordinators”) who shall serve as the principal contacts for PFIZER and LICENSEE for matters relating to the implementation of the Technical Transfer Transition Plan (“Transition Plan”) and shall have the authority from the Party that designated such Coordinator to modify the Transition Plan. The initial Transition Coordinator for LICENSEE shall be ***, and the initial Transition Coordinator for PFIZER shall be ***. Any Transition Coordinator may be replaced by the Party so appointing him or her from time to time upon notice to the other Party. The Transition Coordinators shall meet, in person or by telephone, not less than once every week during the first three (3) months of the implementation of the Transition Plan to (i) review the progress being made under the Transition Plan, (ii) discuss future activities to be conducted under the Transition Plan and the extent to which additional resources need to be applied by either Party or both to complete the transition, and (iii) review and agree upon any necessary or desired revisions to the Transition Plan. Upon the request of either Transition Coordinator, other personnel from a Party may attend and participate in such meetings. It is the objective of the Parties, working through their Transition Coordinators, and in accordance with the terms and conditions of this Agreement including the Schedules hereto, to insure as smooth and efficient a transition from PFIZER to LICENSEE as reasonably practical of all relevant documentation, materials, contractual obligations and regulatory responsibilities related to the Compound, the Product and the Existing Trials.
Transition Coordinators. Each of TRS and Ryder shall designate ----------------------- one (1) transition coordinator (each, a "Transition Coordinator" and collectively, the "Transition Coordinators") who will provide continuous oversight and coordination of, and communicate concerning disputes with respect to, the Transition Services who will be available to TRS and Ryder during normal business hours and who will be responsible for providing for, or delegating the provision of assistance regarding, the Transition Services. TRS and Ryder may from time to time substitute the persons serving as Transition Coordinators with other persons who, in the reasonable judgment of the Party ap pointing the Transition Coordinator, are qualified to serve in those positions.
Transition Coordinators. (a) HHSC hereby appoints and designates Xxx Xxxxxx to be its initial Services Coordinator (the “Services Coordinator”), who will be directly responsible for coordinating and managing the delivery of the HHSC Services and have authority to act on HHSC's behalf with respect to matters relating to this Agreement. (b) MHS hereby appoints and designates Xxxxx Xxxxxx to act as its initial Records Coordinator (the “Records Coordinator”), who will be directly responsible for coordinating and managing the delivery of the Record Management Services and have authority to act on MHS's behalf with respect to matters relating to the Record Management Services under this Agreement. HHSC hereby appoints and designates Xxxxx Xxxxxxxx, to act as its initial Records Designee (the “Records Designee”), who will be directly responsible for coordinating and managing HHSC's use of the Record Management Services and have authority to act on HHSC's behalf with respect to matters relating to the Record Management Services provided under this Agreement. (c) Notwithstanding the requirements of Section 14.2 of the Transfer Agreement, all communications from MHS to HHSC pursuant to this Agreement which MHS in good faith believes to involve principally routine matters related to the HHSC Services shall be made through the applicable Services Coordinator, Records Designee, HHSC interim billing liaison (as described in Exhibit B), or HHSC Personnel Supervisor (as described in Exhibit D).   • Service Coordinators Each Party has designated an employee or title as the key contact for the day-to-day implementation or monitoring of each Service as specified in the applicable Transition Service Schedule (each, a “Service Coordinator”). The Parties shall direct communications relating to specific Services to the applicable Service Coordinators. The Service Coordinators shall report to the Transition Committee from time to time, as directed by the members of the Transition Committee designated by the applicable Party.

  • Project Coordinator Within 14 days of the effective date of this Consent Agreement, DTSC and Respondent shall each designate a Project Coordinator and shall notify each other in writing of the Project Coordinator selected.
