Provision of Assistance. Employee agrees, upon Corporation's ----------------------- request, during and after the Term of employment set forth herein, to assist Corporation, its attorneys, and nominees at its or their expense in preparing and prosecuting applications for letters patent on Inventions created by him and applications to register copyrights on inventions created by him providing, however, that time actually spent by Employee at such work after termination of employment, at Corporation's request, shall be paid for by Corporation at a reasonable rate, and that necessary expenses incurred by Employee in connection with Employee's duties under this paragraph shall be paid by Corporation.

Provision of Assistance. Each Party that receives a Confidential Matter shall provide assistance, reasonably requested by any affected Party or Affiliate thereof in relation to any proceedings that the affected Party or Affiliate may take against any person for unauthorized use, copying or disclosure of the affected Party’s or Affiliate’s Confidential Matter.

Each Party shall also keep the Joint Research Committee, Joint Development Committee, Joint Commercialisation Committee and Collaboration Committee, as appropriate, informed as to its progress in the Research, Development and Commercialisation of Antibody Products. A Party shall not be in breach of any obligation under this Agreement to the extent its inability to perform such obligation is caused by the other Party’s failure to perform any of its obligations under this Agreement.

Provision of Assistance. 9.2.1 In the event that HFL Homes does not or may not be able to comply with one or more of the Regulatory Standards, HFLGL and HFL Homes will work together to determine what, if any, assistance HFLGL might provide to HFL Homes and/or what steps need to be taken by HFL Homes to address the actual or potential breach of the Regulatory Standard(s). 9.2.2 Following this HFLGL may: (a) provide such support as it assesses to be appropriate in the circumstances, and/or (b) issue directions to HFL Homes to take specific steps to remedy an actual breach or avoid a potential breach. 9.2.3 Where HFL Homes is required to do so under the Regulatory Standards, or pursuant to any other formal requirement of the Regulator, HFL Homes will notify the Regulator of an actual or potential breach of the Regulatory Standards, the steps it intends to take in respect of that breach and any assistance which is to be provided or directions which have been issued by HFLGL under Clause 9.2.2(a) and/or 9.2.2(b). 9.2.4 Any directions given by HFLGL under Clause 9.2.2(b) shall not require HFL Homes to act in such a way as to place it in further or additional breach of a Regulatory Standard or which would prevent it from meeting any other Regulatory Standard or other formal requirement of the Regulator.

Provision of Assistance. 8.1 During the Exploration Period, the AFM Shareholder may in its sole discretion and without incurring any cost, provide such assistance to APM as it, may reasonably require in order to perform its obligations which may include (at the AFM Shareholder's sole discretion), certain administrative support, services and facilities for APM in Oman, such as office facilities, support staff, accommodation and vehicles for APM personnel, and assistance in sourcing plant and machinery that may be required during the Exploration Activities, and the provision of any such services as agreed by the Parties at a meeting of the Management Committee. 8.2 In respect of any services that may reasonably be expected to be provided by an independent exploration or mining contractor (including the provision of plant, machinery and equipment) to the Joint Venture in order to undertake the activities contemplated by this Agreement, APM agrees that it shall give first priority to Al Xxxxxx Mining to provide any such service providing that such service is priced on terms at least equal to those sourced by APM from any other providers of a similar standing in the local Omani market.
Provision of Assistance. The Supplier must promptly provide all reasonable assistance to member of the Aristocrat Group to enable that member to obtain any approvals required to be obtained from any Gaming Authority in relation to the manufacture, distribution or sale of any of the Aristocrat Group’s gaming machines or other products in any jurisdiction. The relevant member of the Aristocrat Group will meet the Supplier’s reasonable expenses in complying with this clause.
