Common use of Transition Subcommittee Clause in Contracts

Transition Subcommittee. (a) The Parties shall, within 180 days following Financial Close, establish a transition subcommittee of the Works Committee (the “Transition Subcommittee”) consisting of 3 representatives of each Party. The Transition Advisor shall be entitled to, but not required to, attend meetings of the Transition Subcommittee. Members of the Transition Subcommittee may invite, on prior notice to all members, such other advisors and consultants as they require from time to time to attend meetings and provide briefings to the Transition Subcommittee. (b) The Transition Subcommittee shall assist the Parties by promoting cooperative and effective communication with respect to matters related to the Transition, including issues related to decanting from the Existing Facilities to the Facility and the transfer and installation of all Existing Equipment. (c) The primary role of the Transition Subcommittee shall be to oversee and coordinate the Transition in a timely and efficient manner and in accordance with the Works Schedule and the Final Commissioning Program. (d) The Transition Subcommittee shall be responsible for receiving and reviewing all matters related to the Transition and shall make recommendations to the Works Committee, which the Works Committee may accept or reject in its sole discretion. (e) The members of the Transition Subcommittee may adopt such procedures and practices for the conduct of the activities of the Transition Subcommittee as they consider appropriate from time to time. (f) Unless otherwise agreed, the Transition Subcommittee shall operate only until the Final Completion Date.

(e) The members of the Transition Subcommittee may adopt such procedures and practices for the conduct of the activities of the Transition Subcommittee as they consider appropriate from time to time. (f) Unless otherwise agreed, the Transition Subcommittee shall operate only until the Final Completion Date.
