Translation Opinions. The Company shall cause Osler, Xxxxxx & Harcourt LLP to deliver to the Underwriters customary opinions, dated the date of the filing of the French language versions of each Canadian Preliminary Prospectus and the Canadian Prospectus, to the effect that the French language version of each such prospectus is in all material respects a complete and proper translation of the English language versions thereof (other than the financial statements and other financial data contained therein).
Translation Opinions. 8.1 The Issuer will deliver to the Underwriters, prior to the time that the Preliminary Prospectus and Final Prospectus in the French language is filed with the Securities Commissions and printed, opinions of counsel in the Province of Quebec dated the date of the Preliminary Prospectus or Final Prospectus, as applicable, in form and substance satisfactory to the Underwriters, acting reasonably, addressed to the Underwriters, Underwriters’ counsel, the boards of directors of the Issuer and to the Issuer’s counsel to the effect that the Preliminary Prospectus (but excluding, for greater certainty, the documents incorporated by reference therein) or Final Prospectus, as applicable, in the French language (other than the Financial Statements and the Financial Information) is in all material respects a complete and proper translation of the Preliminary Prospectus or Final Prospectus, as applicable, in the English language and is not susceptible to any materially different interpretation with respect to any material matter contained therein.
8.2 The Issuer will also deliver to the Underwriters contemporaneously with the opinions referred to in Section 8.1, opinions of the Auditors, dated the date of the Preliminary Prospectus (but excluding, for greater certainty, the documents incorporated by reference therein) or Final Prospectus, as applicable, in form and substance satisfactory to the Underwriters, acting reasonably, addressed to the Underwriters, Underwriters’ counsel, the boards of directors of the Issuer and to the Issuer’s counsel to the effect that the Financial Information in the French language and contained in the Preliminary Prospectus or Final Prospectus, as applicable, is in all material respects a complete and proper translation of the English language version thereof.

The Company shall cause Fasken Mxxxxxxxx DuMoulin LLP to deliver to the Underwriters and the Sub-underwriters similar opinions as to the French language translation of any information contained in any Supplementary Material, in form and substance satisfactory to the Underwriters and the Sub-underwriters, prior to the filing thereof with the Qualifying Authorities.

The Company shall cause Stikeman Elliott LLP to deliver to the Underwriters customary opinions, dated the date of the filing of the French language versions of each of the Canadian Preliminary Prospectus and the Canadian Final Prospectus, to the effect that the French language version of each such prospectus, together with each document incorporated by reference therein, is in all material respects a complete and proper translation of the English language versions thereof (other than the financial statements and other financial data contained therein). The Company shall cause Stikeman Elliott LLP to deliver to the Underwriters similar opinions as to the French language translation of any information contained in any Supplementary Material, in form and substance satisfactory to the Underwriters, prior to the filing thereof with the Qualifying Authorities.

The Company shall cause XxXxxxxx Xxxxxxxx to deliver to the Underwriters and the Sub-underwriter an opinion, dated the date of the filing of the French language versions of each of the Canadian Preliminary Prospectus, the Final PREP Prospectus and the Supplemental PREP Prospectus, to the effect that the French language version of each such prospectus (other than the financial statements and the financial information set forth under the caption "Capitalization" and the caption "Management's Discussion and Analysis of Financial Condition and Results of Operations" and other financial data contained therein or omitted therefrom) is in all material respects a complete and proper translation of the English versions thereof and is not susceptible of any materially different interpretation with respect to any material matter contained therein. The Company shall cause XxXxxxxx Xxxxxxxx to deliver to the Underwriters and the Sub-underwriter a similar opinion as to the French language translation of any information contained in any Supplementary Material, in form and substance satisfactory to the Underwriters and the Sub-underwriter, prior to the filing thereof with the Reviewing Authority.

The Company shall cause McCarthy Tetrault to deliver to the Underwriters similar opinions xx tx xxx Xxench language translation of any information contained in any Supplementary Material, in form and substance reasonably satisfactory to the Underwriters, prior to the filing thereof with the Reviewing Authority.

The Company shall cause Blake, Cxxxxxx & Gxxxxxx LLP to deliver to the Underwriters customary opinions, dated the date of the filing of the French language version of the Canadian Final Prospectus, to the effect that the French language version of such prospectus, together with each document incorporated by reference therein (other than the Company Financial Information and the UAP Financial Information, each as defined below), is in all material respects a complete and proper translation of the English language version thereof. The Company shall cause Blake, Cxxxxxx & Gxxxxxx LLP to deliver to the Underwriters similar opinions as to the French language translation of any information contained in any Supplementary Material, in form and substance satisfactory to the Underwriters, prior to the filing thereof with the Qualifying Authorities. The Company shall cause Xxxxxxxxxx Xxxxxxxx L.L.P. to deliver to the Underwriters similar opinions as to the French language translation of any information contained in any amendments or supplements to the Base PREP Prospectus or the Supplemented PREP Prospectus, in form and substance satisfactory to the Underwriters, prior to the filing thereof with the Reviewing Authority.
