Trustee Records. The Trustee shall keep full, accurate and detailed accounts of all investments, receipts and disbursements and other transactions hereunder. Its financial statements, books and records with respect to the Trust Fund shall be open to inspection by the Company, the Bank and the Committee, and to their respective attorneys, accountants and agents upon reasonable notice at all reasonable times during business hours of the Trustee.
Trustee Records. The Trustee must also keep or cause to be kept proper records of or relating to the Trustee, including financial statements for the Trustee and all records required to be maintained in respect of the Trustee under company or securities law.

Such account may incorporate by reference any and all schedules and other statements setting forth investments, receipts, disbursements and other transactions effected during the period for which such account is rendered which the Trustee has furnished to the Company prior to the filing of such account. Each account so filed (and copies of any schedules and statements incorporated therein by reference as aforesaid) shall be open to inspection during business hours by any Participant or Beneficiary and any person designated by such Participant or Beneficiary for a period of 60 days immediately following the date on which the account is filed with the Company. The Company may approve such accounts by an instrument in writing delivered to the Trustee. In the absence of the filing in writing with the Trustee by the Company of exceptions or objections to any such account within 90 days, the Company shall be deemed to have approved such account; and in such case, or upon the written approval of the Company of any such account, the Trustee shall be released, relieved and discharged with respect to all matters and things set forth in such account as though such account had been settled by the decree of a court of competent jurisdiction.

The Trustee shall afford the Seller, the Servicer[, THE CERTIFICATE INSURER] and each Certificateholder upon reasonable notice during normal business hours, access to all records maintained by the Trustee in respect of its duties hereunder and access to officers of the Trustee responsible for performing such duties, such inspection to take place at ____________________________ or such other place as designated by the Trustee. Upon request, the Trustee shall furnish the Servicer[, THE CERTIFICATE INSURER] and any requesting Certificateholder with its most recent financial statements. The Seller, the Servicer, the Certificate Insurer and the Certificateholders shall not have any responsibility or liability for any action or failure to act by the Trustee and are not obligated to supervise the performance of the Trustee under this Agreement or otherwise.

As soon as practicable, but no later than 90 days, following the close of each fiscal year of the Trust and as soon as practicable, but no later than 90 days, after the removal or resignation of the Trustee, as hereinafter provided, the Trustee shall file a report with the Employer and Plan Administrator setting forth all investments, receipts, disbursements and other transactions effected by the Trustee during the fiscal year or during the period from the close of the last fiscal year to the date of such removal or resignation. The report shall contain an exact description, the cost, as shown on the Trustee's books and where readily ascertainable, the market value as of the end of such period of every item held in the Trust Fund and the amount and nature of every obligation owed by the Trust Fund.

For each Applicable Certificate issued prior to the Final Prefunding Expiry Date, the Trustee shall maintain applicable records (which may be included in the Register) indicating, and setting forth each applicable adjustment to, the face amount of and Fractional Undivided Interests represented by such Applicable Certificate pursuant to this Section 3.07 (and such face amounts and Fractional Undivided Interest amounts so reflected in the records maintained by the Trustee shall supersede any conflicting amounts set forth in such Applicable Certificate).

Cityscape, the Servicer and the Certificateholders shall not have any responsibility or liability for any action or failure to act by the Trustee and are not obligated to supervise the performance of the Trustee under this Agreement or otherwise.
