UCC Reports. Copies of the results of Uniform Commercial Code searches showing all financing statements and other documents or instruments on file against each Company in the appropriate central and local offices of the relevant jurisdictions, each such search to be through a search period ending as of a date no more than 10 days prior to the Closing Date.
UCC Reports. Administrative Agent on behalf of the Banks shall have received a UCC report of a date reasonably close to the Funding Date for each of the jurisdictions in which any UCC-1 financing statements or amendments thereto are intended to be filed in respect of the Collateral with respect to such Subsequent Project, showing that upon due filing (assuming such filing or recordation occurred on the date of such respective reports), the security interests created under the Collateral Documents with respect to such Subsequent Project will be prior to all other financing statements or other security documents wherein the security interest is perfected by filing in respect of such Collateral.
UCC Reports. Agent shall have received a UCC report of a date reasonably close to the Closing Date for each of the jurisdictions in which the UCC-1 financing statements, are intended to be filed in respect of the Collateral, showing that upon due filing (assuming such filing or recordation occurred on the date of such respective reports), the security interests created under such Collateral Documents will be prior to all other financing statements, or other security documents wherein the security interest is perfected by filing in respect of the Collateral.

Delivery to Lead Arranger of a UCC report of a date reasonably close to the Closing Date for each of the jurisdictions in which the UCC-1 financing statements are intended to be filed in respect of the Collateral to be in existence as of the Closing Date, confirming that upon due filing or recording (assuming such filing or recordation ot ccurred on the date of such respective reports), as the case may be, the security interests created under the Collateral Documents with respect to such Collateral will be prior to all other financing statements or other security documents wherein the security interest is perfected by filing in respect of such Collateral.
UCC Reports. Delivery to Administrative Agent of a UCC report dated as of a date no more than five Banking Days before the Closing Date for each of the jurisdictions in which UCC-1 financing statements are intended to be filed in respect of the Borrower Collateral, confirming that upon due filing (assuming such filing occurred on the date of such respective reports) the security interests created under the Borrower Collateral Documents will be prior to all other financing statements or other security documents wherein the security interest is perfected by filing in respect of the Borrower Collateral, other than financing statements or other security documents evidencing security interests that will be released and/or discharged on or prior to the Closing Date.
UCC Reports. Delivery to Administrative Agent of a UCC report dated as of a date no more than five days prior to the Credit Event Date for each of the jurisdictions in which UCC-1 financing statements are intended to be filed in respect of the Project Company Collateral related to the Subject Project, Subject Project Company or Subject Intermediate Holding Companies, confirming that upon due filing (assuming such filing occurred on the date of such respective reports) the security interests created under the Project Company Collateral Documents will be prior to all other financing statements or other security documents wherein the security interest is perfected by filing in respect of such Project Company Collateral, other than (a) financing statements or other security documents evidencing security interests that will be released and/or discharged on or prior to the Credit Event Date and (b) financing statements or other security documents evidencing Project Company Permitted Liens.
UCC Reports. Administrative Agent on behalf of the Banks shall have received a UCC report of a date reasonably close to the Turbine Funding Date for each of the jurisdictions in which any UCC-1 financing statements or amendments thereto are intended to be filed in respect of such Turbine, showing that upon due filing (assuming such filing or recordation occurred on the date of such respective reports), the security interests created under the Collateral Documents with respect to such Turbine will be prior to all other financing statements or other security documents wherein the security interest is perfected by filing in respect of such Turbine.
UCC Reports. Delivery to Administrative Agent of a UCC report of a date no less recent than five Banking Days before the Closing Date for each of the jurisdictions in which the UCC-1 financing statements and the fixture filings are intended to be filed in respect of the Collateral, showing that upon due filing or recordation (assuming such filing or recordation occurred on the date of such respective reports), as the case may be, and after giving effect to the Acquisition, the Liens created under the Collateral Documents will be prior to all other Liens on the Collateral (except for the GECC Liens, the mechanics' liens referred to in item No. 7 to Schedule 4.10 of the Acquisition Agreement and any Liens on the Uninsured Real Property Interests or the real property that is subject thereto) which are perfected by filing or recording.

The Lead Arrangers shall have received a UCC report of a date reasonably close to the Closing Date for each of the jurisdictions in which the UCC-1 financing statements are intended to be filed in respect of the Collateral with respect to the Initial Projects, showing that upon due filing (assuming such filing or recordation occurred on the date of such respective reports), the security interests created under the Collateral Documents with respect to the Initial Projects will be prior to all other financing statements, or other security documents wherein the security interest is perfected by filing in respect of such Collateral.
