UK and Europe. If Customer’s headquarters is located in the UK or Europe, the construction, validity and performance of this Agreement (and any Dispute, claim or obligation under it, whether contractual or non-contractual) shall be governed by the laws of England and Wales, and the Parties irrevocably submit to the exclusive jurisdiction of the English courts. All such proceedings shall be conducted using the English language and, in the event that all or any part of this Agreement is translated, the English language version shall be the governing version.

UK and Europe. If the signatory to this Agreement is Advanced Solutions International (Europe) Limited, then this Section c. applies to you and Sections 8a-b and d-e are inapplicable. The laws of England and Wales govern this Agreement and all claims arising from or relating to this Agreement without regard to its conflict of law provisions. The parties consent to the exclusive jurisdiction of the courts located in greater London in any action arising from or related to this Agreement.   • GAG AND EAG 4.1 The Secretary of State agrees to pay GAG and EAG to the Company in relation to the Academy in accordance with the Master Agreement.

  • Openness and Transparency Contractor shall make available to individuals applicable policies, procedures, and technologies that directly affect such individuals and/or their Protected Health Information and Personally Identifiable Information.

  • Australian Consumer Law To the extent you are located in Australia: The supply of the Products or Services under this Agreement may be subject to the Australian Consumer Law, Schedule 2 of the Australian Competition and Consumer Xxx 0000 (Cth) ("Australian Consumer Law"). Where this is the case, the following statement applies in respect of any failure to comply with the consumer guarantees under the Australian Consumer Law: Our Products and Services come with guarantees that cannot be excluded under the Australian Consumer Law. Where the Australian Consumer Laws apply, you are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage, subject to the limitation of liability below. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
