UNPURCHASED SHARES. If all of the shares of Stock referred to in the Notice are not elected to be purchased as provided in Section 1.4, the Stockholder may, in the case of a sale other than a Public Sale or a Piggyback Sale, during the 60-day period following the expiration of the period provided in Section 1.4 offer such unpurchased Stock to any person or persons at a price not less than, and upon terms no more favorable to the offeree than those specified in the Notice. If either (i) in the case of a sale other than a Public Sale or a Piggyback Sale, the Stockholder does not enter into an agreement for the sale of the Stock within such period, or if such agreement is not consummated within 30 days of the execution thereof, (ii) in the case of a Public Sale, if the sale is not consummated within the 7-day period following the expiration of the period provided in Section 1.4, or (iii) in the case of a Piggyback Sale, if the sale is not consummated within the 7-day period following the effective date of the registration statement filed by the Company pursuant to Section 5.2 of the Investor Rights Agreement, the right provided hereunder shall be deemed to be revived and such Stock shall not be offered unless first reoffered to Metrowerks in accordance herewith. Notwithstanding anything herein to the contrary, the amount of time in which such Stockholder must consummate a sale of Stock before Metrowerks' rights hereunder are revived will be tolled to allow such Stockholder to comply with any federal or state securities, antitrust, or other similar laws, rules or regulations; provided, however, that no such tolling will apply to the extent that any delay is the result of or is caused by the actions of the Stockholder or the third party to whom such Stockholder intends to sell the Stock.

UNPURCHASED SHARES. If Purchased Shares remain which no Offeree has elected to purchase, notwithstanding that one or more Offerees have elected to purchase Purchased Shares pursuant to clause 14.3, the right of any Offeree to acquire the Purchased Shares will be null and void and the provisions of clause 14.7 will apply.‌
UNPURCHASED SHARES. If the Trustee elects not to purchase the Shares offered pursuant to this Section 3, the Selling Shareholder shall sell all such remaining Shares pursuant to the Offer. In the event that such sale is not consummated within sixty (60) day from the date of the Notice, the subject Shares shall again become subject to the terms of this Agreement as if the Offer had never been made.
UNPURCHASED SHARES. If any tendered shares are not purchased under the Offer, we will return certificates for unpurchased shares promptly after the expiration or termination of the Offer or, in the case of shares tendered by book-entry transfer at the Book-Entry Transfer Facility, the shares will be credited to the appropriate account maintained by the tendering stockholder at the Book-Entry Transfer Facility, in each case without expense to the stockholder.
UNPURCHASED SHARES. If any tendered shares are not purchased or are properly withdrawn, or if less than all shares evidenced by a stockholder's certificates are tendered, certificates for unpurchased shares will be returned as soon as practicable after the expiration or termination of our offer or the proper withdrawal of the shares, as applicable. Shares will be returned without expense to the stockholder. FEDERAL BACKUP WITHHOLDING TAX. Under the United States federal backup withholding tax rules, 28% of the gross proceeds payable to a stockholder or other payee in the tender offer must be withheld and remitted to the United States Treasury, unless the stockholder or other payee provides such person's taxpayer identification number (employer identification number or social security number) to the depositary and certifies under penalties of perjury that such number is correct or otherwise establishes an exemption. If the depositary is not provided with the correct taxpayer identification number or another adequate basis for exemption, the holder may be subject to certain penalties imposed by the Internal Revenue Service. Therefore, each tendering stockholder should complete and sign the substitute Form W-9 included as part of the letter of transmittal in order to provide the information and certification necessary to avoid backup withholding, unless such stockholder otherwise establishes to the satisfaction of the depositary that the stockholder is not subject to backup withholding. Certain stockholders (including, among others, all corporations and certain foreign stockholders (in addition to foreign corporations)) are not subject to these backup withholding rules. In order for a foreign stockholder to qualify as an exempt recipient, that stockholder must submit an IRS Form W-8 or a Substitute Form W-8, signed under penalties of perjury, attesting to that stockholder's exempt status. The applicable form can be obtained from the depositary. See Instruction 13 of the Letter of transmittal.   • Purchased Shares Subject to the terms and conditions provided below, Seller shall sell and transfer to Buyers and Buyers shall purchase from Seller, on the Closing Date (as defined in Section 1(c)), all of the Shares.

  • Option Shares In addition, upon the basis of the warranties and representations and other terms and conditions herein set forth, at the purchase price per share set forth in Section 1(a), the Company hereby grants an option to the Underwriters, acting severally and not jointly, to purchase the Option Shares in proportion to the number of Initial Shares set forth opposite the names of the Underwriters in Schedule I hereto, plus any additional number of Option Shares which such Underwriter may become obligated to purchase pursuant to the provisions of Section 10. The option hereby granted will expire 30 days after the date hereof and may be exercised in whole or in part from time to time (but not more than twice) only for the purpose of covering over-allotments which may be made in connection with the offering and distribution of the Initial Shares upon notice by the Representatives to the Company setting forth the number of Option Shares as to which the several Underwriters are then exercising the option and the time and date of payment and delivery for such Option Shares. The Underwriters may from time to time increase or decrease the public offering price of the Option Shares after the initial public offering to such extent as the Underwriters may determine.

  • Reacquired Shares Any shares of Series A Preferred Stock purchased or otherwise acquired by the Corporation in any manner whatsoever shall be retired and cancelled promptly after the acquisition thereof. All such shares shall upon their cancellation become authorized but unissued shares of Preferred Stock and may be reissued as part of a new series of Preferred Stock subject to the conditions and restrictions on issuance set forth herein, in the Certificate of Incorporation, or in any other Certificate of Designations creating a series of Preferred Stock or any similar stock or as otherwise required by law.
