Unrelated Business Activities. Executive shall work full-time for the Company. Executive shall not, directly or indirectly, alone or as a member of any company, partnership, entity or organization, be actively engaged in or concerned with any other duties or pursuits which interfere, in the reasonable determination of the Company, with the performance of his duties for the Company.

Unrelated Business Activities. CLTX shall have no obligation to make payments with respect to any claim which is neither directly or indirectly related to, nor directly or indirectly for the benefit of, the insurance, advisory or investment business and activities of the Company and its subsidiaries (or activities at the Company, Services or other subsidiaries of the Company which directly or indirectly support or provide services to the insurance, advisory or investment businesses, including, without limitation, the accounting, public reporting and corporate finance activities at the Company level).
Unrelated Business Activities. (a) The Executive agrees to devote his full working time, attention and energies to the performance of the duties of the Company and the Executive shall not, directly or indirectly, alone or as a member of any partnership, or as an officer, consultant or employee of any other company, partnership or organization, be actively engaged in or concerned with any other duties or pursuits which interfere with the performance of his duties hereunder. The Company acknowledges that the Executive is currently a member of the board of directors of Applied Medical Resources Corporation and of Cardiometrics, Inc. and that he may continue as a member of those board of directors if he so chooses, so long as these activities do not interfere with the performance of his duties hereunder.

  • Business Activities The Company will not, and will not permit any of its Restricted Subsidiaries to, engage in any business other than Permitted Businesses, except to such extent as would not be material to the Company and its Restricted Subsidiaries taken as a whole.

  • Restricted Business For all purposes under this Agreement, “Restricted Business” shall mean the design, development, marketing or sales of software, or any other process, system, product, or service marketed, sold or under development by the Company at the time Executive’s Employment with the Company ends.

Any Covered Person, the Delaware Trustee and the Property Trustee may engage or be interested in any financial or other transaction with the Sponsor or any Affiliate of the Sponsor, or may act as depositary for, trustee or agent for, or act on any committee or body of holders of, securities or other obligations of the Sponsor or its Affiliates.

  • Business Activity As long as this Note shall remain outstanding, Maker shall make no change in its business activity that would make it or any of its business activities non-compliant with SBA regulations and guidelines.
