U.S. Export Control. ST understands and acknowledges that RPM is subject to regulation by agencies of the U.S. Government, including, but not limited to, the U.S. Department of Commerce, which prohibit export or diversion of certain products and technology to certain countries. Any and all obligations of RFM to provide RFM Materials or any media in which any of the foregoing is contained, as well as any other technical information and assistance shall be subject in all respects to such United States laws and regulations as shall from time to time govern the license and delivery of technology and products abroad by persons subject to the jurisdiction of the United States, including the Export Administration Act of 1979, as amended, any successor legislation, and the Export Administration Regulations issued by the Department of Commerce, Bureau of Export Administration. ST agrees to cooperate with RFM, including, without limitation, providing required documentation, in order to obtain export licenses or exemptions therefrom. ST warrants that it will comply with the Export Administration Regulations and other United States laws and regulations governing exports in effect from time to time.

U.S. Export Control. Nipro certifies that unless prior written ------------------- authorization is obtained from the U.S. Bureau of Export Administration or the U.S. Export Administration Regulations explicitly permit the re-export without such authorization, it will not export, re-export, or transship, directly or indirectly, the FreeStyle Products, documentation, technical assistance, or any media in which any of the foregoing is contained, or other technology provided hereunder or the direct product thereof, to any country as to which the U.S. Government has placed an embargo against the shipment of products, software or technology which embargo is in effect during the term of this Agreement.
U.S. Export Control. Distributor shall comply with all then applicable US export control laws and regulations in connection with its distribution of the Software and Documentation, and the disclosure of any technical information related thereto.

You certify that you (i) are not identified on any U.S. Government export exclusion lists; (ii) will not provide the Pre-Release Software to any person or entity included on such lists; and (iii) will not use the Pre-Release Software in connection with chemical, biological, or nuclear weapons or missiles capable of delivering such weapons.
U.S. Export Control. Seller agrees to comply with all applicable U.S. export control laws and regulations including, but not limited to, the Arms Export Control Act, 22 U.S.C. 2751 et seq., including the International Traffic in Arms Regulations (ITAR), 22 C.F.R. 120 et seq.; and the Export Administration Act, 50 U.S.C. 2401 et seq., including the Export Administration Regulations (EAR), 15 C.F.R. 730 et seq. Seller agrees that it will not transfer any export controlled items, technical data, or defense services to any non-U.S. persons (this includes employees of the seller) without the authority of an export license, agreement, or applicable exemption or exception.
U.S. Export Control. BUYER hereby assures OCTEL that it will not without a license or license exception authorized by the Bureau of Export Administration of the U.S. Department of Commerce, Washxxxxxx, X.X. 00000, Xxxxxx Xxxxxx xx America, if required under applicable rules in effect at the time: (i) export or release the information or software (including source code) obtained pursuant to this Agreement to a national of Country Groups D:1 or E:2 (15 C.F.R. Part 740, Supp. 1), Iran, Iraq, Sudan, or Syria; (ii) export to Country Groups D:1 or E:2, or to Iran, Iraq, Sudan, or Syria, the direct product (including processes and services) of the information or software; or (iii) if the direct product of the information is a complete plant or any major component of a plant, export to Country Groups D:1 or E:2, or to Iran, Iraq, Sudan, or Syria, the direct product of the plant or major component. This assurance will be honored even after the expiration date of this Agreement.

U.S. Export Control. Seller is responsible for ensuring compliance with all export control laws and regulations that may be applicable to the export of and foreign access to its technologies. Seller agrees not to export or re-export any products, materials, items, and/or technical data, or the product(s) thereof, received from Purchaser or to Purchaser unless Seller has obtained in advance all required licenses, agreements, or other authorizations from the U.S. Government. Exports include, without limitation, the sending or taking of products, materials, items, or technical data out of the United States in any manner; disclosing or transferring technical data to a Foreign Person (i.e., any person who is not a lawful permanent resident of the United States or is not a protected individual as defined by 8 U.S.C. sections 1101 and 1324b) whether in the United States or abroad; or performing services for a foreign client, whether in the United States or abroad. By executing this order, Seller certifies that neither Seller nor any parent, subsidiary or Affiliate of Seller is included on any of the restricted party lists maintained by the U.S. Government, including the Specially Designated Nationals List administered by the U.S. Treasury Department’s Office of Foreign Assets Control (“OFAC”), Denied Parties List, Unverified List or Entity List maintained by the U.S. Commerce Department’s Bureau of Industry and Security (“BIS”), the List of Statutorily Debarred Parties maintained by the U.S. State Department’s Directorate of Defense Trade Controls, and the consolidated list of asset freeze targets designated by the United Nations, European Union, and United Kingdom (collectively, “Restricted Party Lists”). Seller shall immediately notify the Purchaser if Seller, or any parent, subsidiary, or Affiliate of Seller becomes listed on any Restricted Party List or if Seller’s export privileges are otherwise denied, suspended or revoked in whole or in part by any U.S. or non-U.S. government entity or agency.
