Utilization of Services. During the term of this Agreement, MegaMedia will utilize Nextelligent as its exclusive provider for the Services provided the pricing and time frame specifications for the Services are mutually agreeable to the parties. For each project in which MegaMedia has need for the Services it will contact Nextelligent, provide the goals and specifications for the project and negotiate in good faith the pricing and time frame requirements for the project. If the parties are unable to reach agreement then MegaMedia may engage another vendor to provide the required Services provided, however, the pricing, time frame requirements and other terms and conditions for the Services to be provided by the other vendor cannot in the aggregate be more favorable than those which were offered to Nextelligent.
Utilization of Services. Nothing herein contained shall be deemed to obligate Employer to use Employee's services hereunder and Employer shall have fully discharged its obligations hereunder by payment to Employee of the applicable compensation set forth in this Paragraph 3. In the event of Employee's death, this Agreement shall terminate and Employer shall make all payments accrued and not yet paid as of the date of Employee's death plus one month. Employer may make such payments to Employee's legal representative or representatives.
Utilization of Services. PAY OR PLAY":
a. Producer's rights: Producer is not obligated to produce, distribute and/or exploit the Picture, or, if commenced, to continue the production, distribution or exploitation of the Picture in any territory; provided that in no event shall the foregoing limit Producers obligation to pay sums accrued and unpaid to Lender hereunder, including pursuant to any "pay- or-play" obligation hereunder. Regardless of whether or not Producer elects to produce, distribute and/or exploit the Picture (or to commence same) Producer is not obligated to use the services in whole or in part of Lender and/or Artist hereunder.
Utilization of Services. 4.1 The partners of this agreement may mutually avail themselves of the benefits on the same conditions as they grant to their own members. If the Cooperation Partner becomes an as- sociate member of OSADL, the benefits that the Cooperation Partner can claim are limited to the benefits for other associate members (current overview attached as annex). These benefits are essentially the same as the benefits that a regular cooperative member can also enjoy, but without the right to vote in the OSADL General Assembly.
4.2 The members of the partners of this agreement are not entitled to any direct rights and obligations from the mutual membership. The partners are not entitled to make exclusive information or documents obtained through the respective membership with the other partner available to their own members.
Utilization of Services. Company shall have no obligation with the exception of payment of the Consulting Fee as set forth in paragraph 2.5 above to use the Services and may at any time abandon the publicity campaign for the Picture and/or terminate Consultant's Services and this Consulting Agreement. Consultant hereby releases and discharges Company from all liabilities for any loss or damage Consultant may suffer as a result of Company's abandonment of the publicity campaign for the Picture and/or its decision not to utilize any one or more of Consultant's Services in connection therewith.
