Vendor Office Space. Vendor shall provide adequate and sufficient office space to house all Adjusters providing Fast Track Adjusting Services to Citizens, (“Office Space”). The Office Space must meet the following requirements within seventy- two (72) hours of notice of Catastrophe Deployment: 3.4.1. sufficient to house one-hundred percent (100%) of Committed Adjusters in one, contiguous location. This includes any agreed upon increases to the Committed Adjuster Total as contemplated in Section 3.1.1.; 3.4.2. fully equipped with all necessary equipment including but not limited to desks, chairs, internet, computer equipment, and telephonic equipment; 3.4.3. contain or connect to disaster recovery and backup systems sufficient to provide one-hundred percent (100%) recovery of business operations within twenty-four (24) hours of a total loss of the Office Space, except as otherwise agreed to by the Parties; 3.4.4. must include space for meetings involving all Vendor Staff; and, 3.4.5. must include three (3) work spaces for Citizens’ personnel. Vendor may be required to provide additional work spaces for Citizens personnel as required in connection with an increase to the Committed Adjuster Total, per Section 3.1.1. As part of Vendor’s obligation to provide these work spaces at no additional cost, Vendor will include basic office accommodations to the Citizens’ personnel who work in the work spaces for a majority of each work week during the Catastrophe Deployment. Such basic office accommodations must be limited to accommodations provided by Vendor to its Vendor Staff, but may include pens, paper, paperclips, tap water, coffee from a Vendor coffee pot, and access to a Vendor provided first aid kit. Such accommodations do not include food.

Vendor Office Space. Within thirty (30) days of the Effective Date, Vendor shall provide adequate and sufficient office space to house Adjusters providing Litigated Claims Adjusting Services and Pre-Suit Appraisal Adjusting Services, (“Vendor’s Jacksonville Office Location"). Such office space must meet the following requirements: 3.4.1. sufficient to house one-hundred percent (100%) of Committed Adjusters in one, contiguous location. This includes any agreed upon increases to the Committed Adjuster Total as contemplated in Section 3.1.1. However, if Vendor has insufficient space to house additional Adjusters performing Pre-Suit Appraisal Adjusting Services in support of a Catastrophe Deployment as further defined herein, Vendor may separately house its Adjusters performing Pre-Suit Appraisal Adjusting Services upon written confirmation from Citizens; 3.4.2. contain or connect to disaster recovery and backup systems sufficient to provide one-hundred percent (100%) recovery of business operations within twenty-four (24) hours of a total loss of the office space; 3.4.3. be located within the city limits of Jacksonville, Florida; 3.4.4. must include space for meetings involving all Vendor Staff; 3.4.5. must include an enclosed office space for meetings requiring privacy and quiet, such as meetings with defense counsel or experts; and, 3.4.6. must include three (3) work spaces for Citizens’ personnel. Vendor may be required to provide additional work spaces for Citizens personnel as required in connection with an increase to the Committed Adjuster Total, per Section 3.1.1. Citizens anticipates requiring an increase of one (1) Citizens’ personnel work space for each increase of ten (10)

  • Office Space All faculty members teaching one-half time or more shall be provided with office space on the campus where the majority of their courses are taught. Further, the Employer will, upon the request of a faculty member, complete Income Tax Form No.T2200 (Declaration of Employment Conditions - Office or Employment Expense).

  • Service Area (a) SORACOM shall provide the SORACOM Air Global Service within the area designated on the web site of SORACOM (the “Service Area”), provided, that, the Service Area may be different if stated otherwise as specified by SORACOM separately. However, within the Service Area, you may not use the SORACOM Air Global Service in places where transmissions are difficult to send or receive. (b) The parties of this Agreement acknowledge that there may be countries or locations within which SORACOM may be restricted from providing the SORACOM Air Global Service due to applicable laws, regulations, decisions, rules or orders (“Restrictions”). During the Term, SORACOM will use reasonable efforts to monitor whether there are any such Restrictions. SORACOM may in its sole discretion and at any time, suspend, discontinue, limit, or modify the SORACOM Air Global Service or impose additional requirements on the provision of the SORACOM Air Global Service, as may be reasonably required to comply with any such Restrictions. (c) In no event will SORACOM be required to provide the SORACOM Air Global Service in countries or locations, or in a manner that would be in violation of the Restrictions and its failure to provide the SORACOM Air Global Service due to the Restrictions will not be deemed to be a breach of its obligations under this Agreement. (d) In the event that any Restriction, or any change in applicable law, regulation, decision, rule or order materially or adversely affects the delivery of the SORACOM Air Global Service (including the economic viability thereof), SORACOM will notify Subscribers in writing and the parties will negotiate in good faith regarding changes to this Agreement. If the parties cannot reach agreement within 30 days after notification from SORACOM requesting renegotiation, SORACOM may terminate the Agreement upon 30 days’ written notice to the Subscriber.

  • Janitorial Services Tenant will not employ any person for the purpose of cleaning the Premises or permit any person to enter the Building for such purpose other than Landlord's janitorial service, except with Landlord's prior written consent. Tenant will not necessitate, and will be liable for the cost of, any undue amount of janitorial labor by reason of Tenant's carelessness in or indifference to the preservation of good order and cleanliness in the Premises. Janitorial service will not be furnished to areas in the Premises on nights when such areas are occupied after 9:30 p.m., unless such service is extended by written agreement to a later hour in specifically designated areas of the Premises.
