Vice Chairman of the Board. The Vice Chairman of the Board shall be the assistant to the Chairman of the Board of Directors and shall assume the Chairman’s responsibilities in the event of his or her absence or disability or as directed by the Chairman of the Board.
Vice Chairman of the Board. The Vice Chairman of the Board (if such office is created by the Board) shall, in the absence or disability of the Chairman of the Board, perform the duties and exercise the powers of the Chairman of the Board. The Vice Chairman shall perform such other duties as from time to time may be prescribed by the Board of Directors or the Executive Committee or assigned by the Chairman of the Board.
Vice Chairman of the Board. The Vice Chairman of the Board, if any, shall consult with the Chairman as to the policies of the Corporation and as to the agendas to be presented at the meetings of the Board of Directors. In the absence of the Chairman of the Board and the President, he shall preside at meetings of the Board of Directors. He shall have such powers and perform such other duties as may be assigned to him from time to time by the Chairman.
Vice Chairman of the Board. The Board of Directors may designate from among its members a Vice Chairman of the Board of Directors, who shall not, solely by reason of these Bylaws, be an officer of the Corporation. The Board of Directors may designate the Vice Chairman of the Board of Directors as an executive or non-executive vice chairman. The Vice Chairman of the Board of Directors shall perform such other duties as may be assigned to him or her by these Bylaws or the Board of Directors.
Vice Chairman of the Board. The Vice Chairman shall be designated by the EDFD Directors and shall have such powers and duties as may be assigned to him by the Board of Directors. In no event shall the Vice Chairman have a casting (deciding) vote.
Vice Chairman of the Board. In the absence of the Chairman, or in the event of his death, inability or refusal to act, the Vice Chairman (or in the event there be more than one Vice Chairman, the Vice Chairman in the order designated at the time of their election, or in the absence of any designation, then in the order of their election) shall perform the duties of the Chairman, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Chairman.
Vice Chairman of the Board. Section 1. In the absence of the Chief Executive Officer, the Vice Chairman (or, if there exists more than one Vice Chairman, the Vice Chairman designated by the Board of Directors) shall serve as the Chief Executive Officer of the Corporation. The Vice Chairmen of the Board shall advise and counsel with the Chief Executive Officer and with other officers of the Corporation, and each shall do and perform such other duties as may from time to time be assigned to him by the Board of Directors or the Chief Executive Officer.
Section 2. Any Vice Chairman of the Board, to the extent delegated by the Chief Executive Officer or the Board of Directors, may execute certificates of stock, bonds, deeds, powers of attorney, mortgages and other contracts under the seal of the Corporation, unless required by law to be otherwise signed and executed and unless the signing and execution thereof be expressly delegated by the Board of Directors to some other officer or agent of the Corporation.
Vice Chairman of the Board. The Vice Chairman of the Board, if elected, shall preside at all meetings of the Board in the absence of the Chairman of the Board. In the absence, disability or non-existence of the Chairman of the Board, or in the event that it is impractical for the Chairman of the Board to act personally, the Vice Chairman of the Board shall have the powers and duties of the Chairman of the Board. The Vice Chairman of the Board shall also have such other powers or duties as shall be assigned by the Board or as may be prescribed by this Agreement.
Vice Chairman of the Board. Unless changed by resignation or a resolution of the Board passed by at least 3 of the 4 members of the Board, Xxxxxx Xxxx Xxxxxxx Xxxx shall be the Vice-Chairman of the Board for a term of five years from the date of his appointment. In the event that the Chairman of the Board cannot perform his/her duties for any reasons, he/she may temporarily authorize the Vice Chairman or any other Member of the Board to act as his/her representative. Vice-Chairman will be registered in the Serbian Business Registers Agency as legal representative of the Company with the right on concluding contracts or signing documents involving a liability or obligation on the Company with the limitations defined in sections 4.25 and 4.26. In addition, he will have the same responsibilities as other members of the Board according to article 4.8.
1. The Vice-Chairman shall assist the Chairman with the preparation of the yearly budget and the updating of the R&D Plan, shall take care that the budget includes both the technological developments and investments, and the financial and economical considerations (cash/flow, working capital, financing etc.) for the whole year.
2. The Vice-Chairman shall be informed and will monitor any proposal, contract or order of the Company exceeding EUR 1.000,000.00.
3. The Vice-Chairman shall be informed of status of projects and R&D activities to monitor the progress in carrying out the R&D Plan.
4. The monthly report and Board preparation will be prepared and reported by the Vice-Chairman.
5. The Company’s Administration and Financial Departments shall report also to the Vice-Chairman.
6. The Chairman may assign other daily duties appropriate to his position to the Vice Chairman to help him in the operation of the Company.
Vice Chairman of the Board. In addition to the appointment of a Chairman of the Board, as provided in Section 2 of Article IV of these By-laws, the Board of Directors may appoint one of its number to the position of Vice Chairman of the Board to serve at the pleasure of the Board. The position of Vice Chairman of the Board shall not constitute an officer position of the Corporation. The Vice Chairman of the Board shall perform such duties and exercise such powers as may be assigned to him from time to time by the Board of Directors or the Chairman of the Board, but shall not be assigned any duties or powers which could result in the Vice Chairman of the Board being considered an executive officer of the Corporation as defined in Rule 3b-7 of the Securities Exchange Act of 1934, as amended, or Section 162(m) of the Internal Revenue Code of 1986, as amended.
