Duties of the Chairman. The Chairman of the Board (the “Chairman”) shall preside at all meetings of the Board. The Chairman shall have the general powers and duties usually vested in the office of Chairman of the Board of a business corporation organized under the DGCL, and shall have such other duties and responsibilities related to the development of BOX Holdings as the Board shall from time to time direct.

Duties of the Chairman. The Chairman shall be responsible for the general care, supervision, control and direction of the business of the Company. The Chairman may call meetings of the Company from time to time. The Chairman may sign with the Secretary, or any other proper Officer of the Company thereunto authorized by the Member, any deeds, mortgages, bonds, contracts, or other instruments which the Member has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Member or by this Agreement to some other Officer or agent of the Company, or shall be required by law to be otherwise signed or executed, and in general shall perform all duties incident to the office of Chairman and such other duties as may be prescribed by the Member. During any period when there shall be a vacancy in the office of Chairman or in the event of the absence or disability of the Chairman, the President shall have the functions, authority and duties provided for the Chairman.

He shall perform all acts and duties usually performed by a presiding officer. Duties of the Chairman. 3.1 The Chairman shall devote approximately one third of his time to Somantis business: 3.1.1 Subject to paragraph 3 of Schedule 1, devote his agreed time attention and ability to the duties of his Office as described in the Company's articles; 3.1.2 Faithfully and diligently perform those duties and exercise such powers consistent with them which are from time to time assigned to or vested in him; 3.1.3 Obey all lawful and reasonable directions given to him by the Chief Executive Officer or the Board; 3.1.4 Use his best endeavors to promote the interests of the Company; 3.1.5 Assist the executive team in fund raising from financial institutions and other sources; 3.1.6 Assist in the in and out licensing efforts with biopharmaceutical companies; 3.1.7 Assist in recruiting the management team and consultants to put in place the infrastructure for conducting the Company's business. 3.1.8 Assist in strategic and tactical decision making by the Company; and 3.1.9 Assist in the management of the Board as its Chairman and in the management and communications to the investors. 3.2 The Company is not obliged to provide the Chairman with work and may at the direction of the Board during any notice period require that the Chairman does not attend his place of work or undertake any activities or certain activities on behalf of the Company. The Company shall nevertheless be obliged to pay the Cash Retainer and other benefits to the Chairman and all the Chairman's obligations hereunder shall continue.
Duties of the Chairman. The Chairman shall be the chief supervising executive officer of Dlorah, Inc., having supervision over the President and CEO of National American University and President of Real Estate Operations of Dlorah, Inc., all as shown more fully on the Organization Chart (Exhibit “A” hereto). Chairman will not, during employment by the Employer, without prior written approval of the Board of Directors of Employer engage in, become an employee, director, officer, agent, partner of or consultant to or a stockholder of (except as stockholder of a public company in which Chairman owns less than 5%) of the issued and outstanding capital stock of such company) or renders services to any company or other business entity which is a competitor or significant supplier of or customer of the Employer or engage in any other activities that would interfere with the performance of Chairman’s duties as an employee of the Employer or that would create an actual or perceived conflict of interest with respect to Chairman’s obligations as an employee of the Employer. Notwithstanding the foregoing, Chairman may serve on corporate, civil or charitable boards or committees provided that such service does not require a material time commitment by the Chairman and that such activities are not competitive with the Employer.
