Waiver of Right to Protest. It is acknowledged and agreed that Landlord shall have the sole right to protest the appraised value of all or any part of the Land and Building. TENANT SHALL NOT INVOKE ANY RIGHTS TO PROTEST THE APPRAISED VALUE OF THE PROPERTY OR TO APPEAL THE SAME AND ANY AND ALL RIGHTS TO RECEIVE NOTICES OF APPRAISALS OR REAPPRAISALS AS SET FORTH IN SECTIONS 41.413 AND 42.015 OF THE TEXAS TAX CODE. To the extent such waiver is prohibited by applicable law, Tenant hereby appoints Landlord as Xxxxxx’s attorney in fact, coupled with an interest, to appear and take all actions on behalf of Tenant which Tenant may have under said Section of Texas Tax Code with respect to the Project, but not with respect to Tenant’s personal property located within the Premises.

Waiver of Right to Protest. Tenant hereby waives any and all rights under Section 41.413 and 42.015 of the Texas Tax Code granting to tenant the right to contest appraised values, or to receive notice of reappraised values, on all or any portion of the Building irrespective of whether Landlord has elected to contest same. To the extent such waiver is prohibited by applicable law, Tenant hereby appoints Landlord as Tenant's attorney in fact, coupled with an interest, to appear and take all actions on behalf of Tenant which Tenant may have under said Section of the Code with respect to the Building, but not with respect to Tenant's personal property located within the Premises.

Waiver of Right to Protest. The restrictive covenants contained herein are ancillary to an otherwise enforceable Agreement of Sale and are to be construed as cumulative with those set forth in the other agreement between the parties hereto. Without limiting the generality of the foregoing, each Loan Party further agrees that the waivers set forth in this Section 10.25 shall have the fullest extent permitted under the Foreign Sovereign Immunities Act of 1976 of the United States and are intended to be irrevocable for purposes of such Act.
