Warranties by Xxxxxx. To have a gate free all-weather access for the milk collection vehicle. - To supply milk produced on farm to Richmond. - To supply milk that complies with the specifications as outlined by Richmond and with specifications and guidelines required by any relevant local, state or federal authority and legislation. - That all farm milk plant, milk vat/s and ancillary dairy equipment complies with relevant local, state or federal requirements or legislation.
Warranties by Xxxxxx. Xxxxxx warrants that (i) Xxxxxx has validly entered into this Agreement and has the legal power to do so, (ii) the Services shall perform materially in accordance with its documentation, and (iii) the functionality of the Services will not be materially decreased during a subscription term. For any breach of a warranty above, the exclusive remedy shall be as provided in Section 10.4 (Refund or Payment upon Termination) below.
Warranties by Xxxxxx. Ikaria warrants to Pulse Technologies that each Device delivered hereunder shall conform in all material respects with its applicable Specifications. Pulse Technologies agrees that its exclusive remedies, and Xxxxxx’s sole liabilities, with respect to any breach of the warranty set forth in this Section 5.2 are set forth in Section 2.8 of this Agreement.
Warranties by Xxxxxx. Bidder warrants to Target that:
(a) it is a corporation limited by shares and is validly existing under the laws of its place of incorporation;
(b) it has full legal capacity and power to own its own property and to carry on its business;
(c) it has the corporate power to enter into and perform its obligations under this agreement and to carry out the transactions contemplated by this agreement;
Warranties by Xxxxxx. Lessee warrants and represents that: (a) the Equipment is being leased for business purposes; (b) all signatures are genuine; and
(c) the person signing the Master Lease is authorized to do so. If Lessee is other than a natural person, it further represents that (a) it is duly organized, existing and in good standing pursuant to the laws under which it is organized; and (b) the execution and delivery of this Master Lease and the performance of the obligations it imposes are within its powers and have been duly authorized by all necessary action of its governing body and do not contravene the terms of its articles of incorporation or organization, its bylaws, or any partnership, operating or other agreement governing its affairs:
Warranties by Xxxxxx. Mosaic represents and warrants that the Services will be provided in accordance with prevailing telecommunications common carrier industry standards, governmental regulations and sound business practices (hereafter the “Technical Standards”). Mosaic does not warrant that the Services will be uninterrupted, error-free, or completely secure. Mosaic will use reasonable efforts under the circumstances to remedy any errors, delays or interruption in the Services (“Defect[s]”). EXCEPT AS EXPRESSLY STATED HEREIN, MOSAIC MAKES NO WARRANTY TO CUSTOMER OR ANY OTHER PERSON OR ENTITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, AS TO THE DESCRIPTION, QUALITY, MERCHANTABILITY, COMPLETENESS, OR FITNESS FOR A PARTICULAR USE OR PURPOSE OF ANY OF THE SERVICES PROVIDED UNDER THIS AGREEMENT.
Warranties by Xxxxxx. The Lessor represents and warrants to the Lessee that -
12.1 the Lessor has the power to enter into and perform its obligations in terms of this Agreement and that the Lessor has taken all the necessary action to authorise the entering into of this Agreement;
12.2 the Original Agreement has been cancelled and that no other Entity has the right to use or occupy the Premises;
12.3 the person who signed this Lease on behalf of the Lessor has been duly authorised thereto; and
12.4 this Agreement will not be in conflict with the constitutional documents of the Lessor or any of the terms and conditions or provisions of any other Agreement to which the Lessee is a Party; and
12.5 this Agreement constitutes valid and binding obligations on the Lessor and is enforceable by the Lessee against the Lessor in accordance with its terms.
