Water Exchange. As consideration for Xxxxx’x agreement to provide water service to the Seventeen Customers, and to provide a viable water supply to Evans to satisfy such obligation, Greeley agrees to convey to Evans water interests, free and clear of liens or encumbrances, as follows:

Water Exchange. 1.1. Upon the request of a Party, the other Party will supply such water as the requesting Party may need to protect or restore services to the requesting Party’s customers. The supplying Party’s obligation to supply such water as requested shall be subject to the following: (a) the availability of such water to the supplying Party; (b) the ability of the Parties’ water distribution systems to deliver such water through the interconnections described in Section 3; and (c) the supplying Party’s determination, at its sole discretion, that the supply of such water will not have an adverse economic impact on, or result in the impairment of, or jeopardize the supplying Party’s water system, its customers, or its commitments to third parties.

Water Exchange. A. CRW may on occasion request water be delivered by the NCCWC to various locations to meet operational or emergency supply needs. Such deliveries may be deducted, by equivalent volume, from the metered deliveries to the NCCWC. Such “water exchange,” however, shall not affect the amount of water credited towards the annual minimum purchase required by the NCCWC.

Water Exchange. As consideration for the Town’s agreement to provide water service to the Properties and to provide a viable supply of water to the Town to satisfy such obligation, the District agrees to convey to the Town three (3) units of the Colorado Big Xxxxxxxx project water. The District agrees to pay the transfer fees to the Northern Colorado Water Conservancy District, if any, following initiation of the transfer by the District, and take the requisite action to effectuate the foregoing transfer. The water exchange shall be complete prior to the Town’s installation of water meters at any of the Properties.

  • Shift Exchange The Employer and the Union agree that shift exchanges are a useful process to allow employees more flexibility and improved work/life balance. Employees within an institution who have the same job classification will be allowed to exchange full shifts for positions in which they are qualified. The shift exchange process will not be used to circumvent the bid system or the supervisory chain of command. Shift exchanges will be in accordance with the following:

  • Quotation The Company will use its best efforts to include, subject to notice of issuance, the Common Shares on the Nasdaq National Market.

  • Clear Market During the period from the date hereof through and including the Closing Date, the Company will not, without the prior written consent of the Representatives, offer, sell, contract to sell or otherwise dispose of any debt securities issued or guaranteed by the Company and having a tenor of more than one year.

  • Trunk Data Exchange 65.9.1 Each Party agrees to service trunk groups to the blocking criteria in Section 64.3.4 in a timely manner when trunk groups exceed measured blocking thresholds on an average time consistent busy hour for a twenty- one (21) Day study period. The Parties agree that twenty-one (21) Days is the study period duration objective unless mutually agreed otherwise. The study period will not include a holiday.

  • 1031 Tax Exchange A material part of the consideration to Buyer for purchasing the Property from Seller and Seller selling the Property to Buyer is that both Buyer and Seller have the option to qualify this transaction as part of a tax-deferred exchange under Section 1031 of the Internal Revenue Code.

  • Currency Exchange All payments under this Agreement shall be payable, in full, in Dollars, regardless of the country(ies) in which sales are made. For the purposes of computing Net Sales of Licensed Products that are sold in a currency other than Dollars, such currency shall be converted into Dollars as calculated at the rate of exchange for the pertinent quarter or year to date, as the case may be, as used by Celgene in producing its quarterly and annual accounts, as confirmed by their respective auditors.

  • Bulletin Board The Employer shall provide a bulletin board which shall be placed so that all employees will have access to it and upon which the Union shall have the right to post notices of regular meetings, special meetings, seminars or Union activities.

  • Trading With respect to the securities and other investments to be purchased or sold for the Fund, Subadviser shall place orders with or through such persons, brokers, dealers, or futures commission merchants (including, but not limited to, broker-dealers that are affiliated with AEFC or Subadviser) selected by Subadviser; provided, however, that such orders shall be consistent with the brokerage policy set forth in the Fund's Prospectus and SAI, or approved by the Board; conform with federal securities laws; and be consistent with securing the most favorable price and efficient execution. Within the framework of this policy, Subadviser may consider the research, investment information, and other services provided by, and the financial responsibility of, brokers, dealers, or futures commission merchants who may effect, or be a party to, any such transaction or other transactions to which Subadviser's other clients may be a party.

  • Bulletin Board Space The City shall provide reasonable space on bulletin boards for official Union notices of a non-controversial nature at each central work area.
