Whole Living Schedules. Whole Living has delivered to Vestrio the following items pertaining to Whole Living, listed below, hereafter referred to as the "Whole Living Schedules", which is hereby incorporated by reference and made a part hereof. A certification has been executed by a duly authorized officer of Whole Living on or about the date which the Plan is executed to certify that the Whole Living Schedules are true and correct. (a) Copy of Articles of Incorporation and any amendments, and Bylaws; (b) Financial statements; (c) Shareholder list; (d) Resolutions of Directors approving Plan; (e) Officers' Certificate as required under Section 6.2 of the Plan; (f) Opinion of counsel as required under Section 6.4 of the Plan;

Whole Living Schedules. Whole Living has delivered to WLN the following items listed below, hereafter referred to as the "Whole Living Schedules", which is hereby incorporated by reference and made a part hereof. A certification executed by a duly authorized officer of Whole Living on or about the date within the Plan is executed to certify that the Whole Living Schedules are true and correct. (a) Copy of Articles of Incorporation and Bylaws; (b) Financial Statements; (c) A schedule setting forth the shareholders, together with the number of shares owned beneficially or of record by each (also attached as Exhibit A); (d) Resolutions of Board of Directors approving Plan; (e) Consent of Shareholders approving Plan; (f) A list of key employees, including current compensation, with notation as to job description and whether or not such employee is subject to written contract, and if subject to a contract or employment agreement, a copy of the same; (g) A schedule showing the name and location of each bank or other institution with which Whole Living has an account and the names of the authorized persons to draw thereon or having access thereto; (h) A schedule setting forth all material contracts;

  • Operating Schedule Purchaser shall, be- fore commencing operations, provide in writing an annual Operating Schedule of anticipated major activities and needs for logging Included Timber, such as logging, road maintenance, Scaling, and road construction, including construction staking under B5.212 and material delivery under B5.22. Upon reasonable notice to Forest Service, such schedule shall be subject to modifications necessi- xxxxx by weather, markets, or other unpredictable circum- stances.

  • Alternate Work Schedules Workweeks and work shifts of different numbers of hours may be established for overtime-eligible employees by the Employer in order to meet business and customer service needs, as long as the alternate work schedules meet federal and state law. When there is a holiday, employees may be required to switch from their alternate work schedules to regular work schedules.

  • Alternative Work Schedules Employees may request alternative work schedules such as a nine (9) day - 80 hour two week schedule or a four (4) day - 40 hour week schedule. Management will respond to an employee's request within 15 calendar days. Any changes from existing work schedules will be based on the needs of the service as determined by Management. Employees covered by the Fair Labor Standards Act will not be placed on alternate work schedules that mandate the payment of overtime under the Act.

  • Vesting Schedule Except as provided in Section 4, and subject to Section 5, the Restricted Stock Units awarded by this Award Agreement will vest in accordance with the vesting provisions set forth in the Notice of Grant. Restricted Stock Units scheduled to vest on a certain date or upon the occurrence of a certain condition will not vest in Participant in accordance with any of the provisions of this Award Agreement, unless Participant will have been continuously a Service Provider from the Date of Grant until the date such vesting occurs.

  • Regular Work Schedules The regular work schedule for overtime-eligible employees will not be more than forty (40) hours in a workweek, with two (2) consecutive calendar days off and starting and ending times as determined by the requirements of the position and the Employer. The Employer may adjust the regular work schedule with prior notice to the employee.

  • Voltage Schedules Once the Developer has synchronized the Large Generating Facility with the New York State Transmission System, NYISO shall require Developer to operate the Large Generating Facility to produce or absorb reactive power within the design capability of the Large Generating Facility set forth in Article 9.5.1 (Power Factor Design Criteria). NYISO’s voltage schedules shall treat all sources of reactive power in the New York Control Area in an equitable and not unduly discriminatory manner. NYISO shall exercise Reasonable Efforts to provide Developer with such schedules in accordance with NYISO procedures, and may make changes to such schedules as necessary to maintain the reliability of the New York State Transmission System. Developer shall operate the Large Generating Facility to maintain the specified output voltage or power factor at the Point of Interconnection within the design capability of the Large Generating Facility set forth in Article 9.5.1 (Power Factor Design Criteria) as directed by the Connecting Transmission Owner’s System Operator or the NYISO. If Developer is unable to maintain the specified voltage or power factor, it shall promptly notify NYISO.

  • Reporting Schedule Consultant shall report regularly, and not less frequent than once per week, to the Company his actions on behalf of the Company.
