WiFi Equipment and SputnikNet Service. As a condition to the validity of this Lease, Lessee shall install, at its sole cost and expense, the necessary number of Sputnik access points and Sputnik antennas (the "WiFi Equipment") in the front lobby of the building in order to provide adequate WiFi coverage to the entire lobby, including Café Moda. Lessor will provide all clearances needed for Lessee to install WiFi Equipment in the building. Lessee will provide "SputnikNet service" (xxxx://xxx.xxxxxxx.xxx/products/sputniknet.html), enabling the Lessor to brand the wireless experience with a splash page or offer fee-based wireless services. Lessee will provide the same quality of service guarantee as our commercial SputnikNet service. Lessor will provide and pay for wired broadband Internet service (e.g., DSL) and power to the WiFi Equipment. Lessee will install the WiFi Equipment within thirty (30) days of the date of execution hereof and subject to the approval of Lessor. The installation work shall be completed by no later than January 31, 2005, and if not completed and in working order by such date, Lessor may, at its sole option, and in addition to all other remedies, terminate this Lease for Lessee's failure to satisfy this condition. The operation of the WiFi Equipment will be the sole responsibility of Lessee throughout the Lease term after which it shall become the property of the Lessor, at Lessor's sole option. Lessee will manage, repair, maintain and service the WiFi Equipment. Removal of the WiFi Equipment shall be the responsibility of Lessee if the Lessor elects at the expiration or earlier termination of this Lease, not to exercise its right to retain ownership of the WiFi Equipment.

  • Equipment and Software To use the Mobile Remote Deposit Services, you must obtain and maintain at your expense, compatible equipment and software that we may specify from time to time.

  • Office Space, Equipment and Facilities Provide such office space, office equipment and office facilities as are adequate to fulfill the Adviser’s obligations hereunder.

  • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.

  • Equipment and Materials CONTRACTOR shall provide all equipment, materials, and supplies necessary for the performance on the Agreement except:

  • Computer Equipment Recycling Program If this Contract is for the purchase or lease of computer equipment, then Contractor certifies that it is in compliance with Subchapter Y, Chapter 361 of the Texas Health and Safety Code related to the Computer Equipment Recycling Program and the Texas Commission on Environmental Quality rules in 30 TAC Chapter 328.

  • All new supplies equipment and services shall include manufacturer's minimum standard warranty unless otherwise agreed to in writing. Vendor shall be legally permitted to sell all products offered for sale to TIPS Members. All goods proposed and sold shall be new unless clearly stated in writing. The Vendor shall provide timely and accurate customer support for orders to TIPS Members as agreed by the Parties. Vendors shall respond to such requests within a commercially reasonable time after receipt of the request. If support andƒor training is a line item sold or packaged with a sale, support shall be as agreed with the TIPS Member. Most TIPS Members are tax exempt and the related laws andƒor regulations of the controlling jurisdiction(s) of the TIPS Member shall apply. No assignment of Agreement may be made without the prior notification of TIPS. Written approval of TIPS shall not be unreasonably withheld. Payment for delivered goods and services can only be made to the awarded Vendor, Vendor designated reseller or vendor assigned company.

  • Selection of Subcontractors, Procurement of Materials and Leasing of Equipment The contractor shall not discriminate on the grounds of race, color, religion, sex, national origin, age or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall take all necessary and reasonable steps to ensure nondiscrimination in the administration of this contract. a.
