WITNESSETH THAT WHEREAS Sample Clauses

WITNESSETH THAT WHEREAS the Owner desires to avail itself of the services of an engineer registered and licensed as such by the Kentucky State Board of Licensure for Professional Engineers and Land Surveyors, pursuant to KRS Chapter 322, to provide engineering services for planning miscellaneous renovations and improvement projects at various locations as required by the Owner, and
WITNESSETH THAT WHEREAS the Owner desires to avail itself of the services of a Geological or Civil Engineer particularly versed and experienced in investigation and evaluating subsurface conditions, and
WITNESSETH THAT WHEREAS. It is in the interest of Optionor, its shareholders and its subsidiaries to encourage and enable outside directors whose judgment, initiative and effort may be expected to directly and significantly influence the growth and profitability of Optionor, to acquire and retain a proprietary interest in Optionor by ownership of its stock; and
WITNESSETH THAT WHEREAS the Owner desires to avail itself of the services of an architect registered and licensed as such by the Kentucky Board of Architects, pursuant to KRS Chapter 323, to provide architectural services for planning miscellaneous renovations and improvement projects at various locations as required by the Owner, and
WITNESSETH THAT WHEREAS the Owner desires to avail itself of the services of a structural engineer registered and licensed as such by the Kentucky State Board of Registration for Professional Engineers and Land Surveyors, pursuant to KRS Chapter 322, to provide structural engineering services for investigation and planning miscellaneous renovations and improvement projects at various locations as required by the Owner, and
WITNESSETH THAT WHEREAS. The City desires to engage the services of a professional contractor for the purpose of , hereinafter referred to as "Project"; and,
WITNESSETH THAT WHEREAS. The Holders have made certain loans to the Pledgor in the aggregate principal sum of approximately $7,456,407 (the "Loans"), which loans are evidenced by the promissory notes described on Schedule I attached hereto and made a part hereof (each as amended, modified, renewed, extended or replaced from time to time, a "Note" and collectively, the "Notes");
WITNESSETH THAT WHEREAS. THAT WHEREAS, the parties hereto desire to form a general partnership pursuant to the provisions of the Uniform Partnership Act as in effect in the State of Illinois, as amended (herein the "Act"), except as otherwise provided herein, upon the terms and conditions as set forth herein.
WITNESSETH THAT WHEREAS the purpose and intent of this Agreement is to secure of all concerned the benefits of collective bargaining and to ensure for the community a high standard of ambulance service at all times, NOW THEREFORE THE PARTIES HERETO AGREE TO COOPERATE AND ABIDE BY THE TERMS AS HEREINAFTER SET FORTH.
WITNESSETH THAT WHEREAS. The instructor hereby certifies to the Board of Education that said instructor is properly licensed by the North Carolina Department of Motor Vehicles as a certified driver education teacher pursuant to the current regulations promulgated by the Department of Public Instruction. The instructor agrees to provide for the Superintendent/Designee a program and curriculum of driver education for eligible students designated by the Superintendent/Designee, said instructor to provide to said students such a program and curriculum meeting the provisions of North Carolina motor vehicle laws, of North Carolina General Statues 20-322 through 20-324, of North Carolina General Statues 115C-215,216,217 and of the regulations pursuant thereto, said program and curriculum to comprise no less than thirty (30) hours of classroom instruction and six (6) hours of behind-the-wheel training. For said services provided students approved for driving training by the Superintendent/Designee, the instructor shall receive from the Board of Education thirty dollars ($30.00) per student for curriculum required classroom instruction and one hundred twenty dollars ($120.00) per student for curriculum required behind-the-wheel instruction.
