WORKFORCE INFORMATION AND RETENDERING. 31.1 Subject to clauses 22 (Confidentiality) and 23 (Data Protection Act), during the 12 months preceding the expiry of this Agreement or after the Purchaser has given notice to terminate this Agreement or at any other time as directed by the Purchaser, and within fifteen (15) Working Days of being so requested by the Purchaser, the Provider shall fully and accurately disclose to the Purchaser any and all information in relation to all personnel engaged in carrying out the Services including but not limited to all relevant employees who it is envisaged by the Provider will transfer as a consequence of a transfer under TUPE as the Purchaser may request, in particular but not necessarily restricted to any of the following: • a list of employees employed by the Provider; • a list of agency workers, agents and independent contractors engaged by the Provider ; • the total payroll bill (i.e. total taxable pay and allowances including employer‟s contributions to pension schemes) of those personnel; • the terms and conditions of employment of the employees of the Provider engaged in the provision of Services, their age, salary, date continuous employment commenced (for the purposes of calculating redundancy payments) and (if different) the commencement date, enhancement rates, any other factors affecting their redundancy entitlement and any outstanding claims arising from employment. • the proportions of working time spent by individual employees in servicing individual service users. 31.2 The Provider shall warrant the accuracy of all the information provided to the Purchaser pursuant to this Clause and authorises the Purchaser to use any and all the information as it may consider necessary for the purposes of its business or for informing any tenderer of any services which are substantially the same as the Services (or any part thereof). 31.3 During the 12 months preceding the expiry of this Contract or where notice to terminate this Contract for whatever reason has been given, the Provider shall allow the Purchaser or such other persons as may be authorised by the Purchaser to communicate with and meet all relevant employees who it is envisaged by the Provider and/or the Purchaser will transfer as a consequence of a transfer under TUPE and their trade union or employee representatives as the Purchaser may reasonably request. 31.4 During the 12 months preceding the expiry of this Contract or where notice to terminate this Agreement for whatever reason has been g...
