Your duty to Us. 2.1. The Client agrees to act with utmost good faith in the provision of information to The Broker. The duty is continuous and applies to all the information the Client provides, whether The Broker has asked for it or whether The Client has provided it voluntarily. The Client agrees not to withhold information from the Broker. 2.2. The Client agrees to take all reasonable steps and use all reasonable endeavours to comply with and satisfy any condition imposed by the Lender who has made a Finance Offer that accords with the requirements set out in the Quotation & Provisional Acceptance. 2.3. The client agrees to notify the Broker if at any time, they intend to appoint an additional or alternate Broker or intermediary to obtain an offer of finance for them whereupon The Broker will be entitled to terminate this Agreement forthwith. 2.4. If the Client fails to notify The Broker that they intend to appoint an alternate or additional Broker or intermediary prior to doing so and if an Offer of Finance is obtained from any Lender the Client will pay the Broker Arrangement Fee calculated by reference to the Finance Offer made but otherwise in accordance clause 3.2 (Broker Arrangement Fee section, above) of the Agreement to the Broker.

The client agrees to notify the Broker if at any time, they intend to appoint an additional or alternate Broker or intermediary to obtain an offer of finance for them whereupon The Broker will be entitled to terminate this Agreement forthwith.

Your duty to Us. 2.1. You agree to act with utmost good faith in the provision of full and xxxxx information to Us. The duty is continuous and applies to all the information You provide, whether We have asked for it or whether You have provided it voluntarily. You agree not to withhold information from Us, or provide only partial information to Us. In particular, You agree to provide any information which if known by or disclosed to a prospective lender could reasonably affect the decision to offer You a loan. If You fail to disclose any material information to Us or to any provider or lender, this could invalidate Your loan or mortgage agreement and could even mean that You are open to an allegation of mortgage fraud or other criminal act. We cannot be held responsible for Your failure to disclose relevant information when requested to do so or the consequences that arise as a result. 2.2. You agree to take all reasonable steps and use all reasonable endeavours to comply with and satisfy any condition imposed by the Lender who has made a Finance Offer that accords with the requirements set out in the Confirmation of Instructions Form. 2.3. You agree to notify Us if at any time You intend to appoint an additional or alternate broker or intermediary to obtain a Finance Offer for You whereupon We will be entitled to terminate this Agreement forthwith. 2.4. If You fail to notify Us that you intend to appoint an alternate or additional broker or intermediary prior to doing so and if a Finance Offer is obtained from any Lender You will pay the Arrangement Fee calculated by reference to the Finance Offer made but otherwise calculated in accordance with your Agreement with Us. 2.5. If You breach any duty in this clause 2 then clause 3.2.4 of the Agreement shall not apply.

  • Duty to Perform and Duty to Mitigate 11.6.1 To the extent not prevented by a Force Majeure Event pursuant to Article 11.3, the Affected Party shall continue to perform its obligations pursuant to this Agreement. The Affected Party shall use its reasonable efforts to mitigate the effect of any Force Majeure Event as soon as practicable.
