定義及詮釋. 1.1 於本協議,除非根據文義另有解說: 「開戶表格」指於本行開立結構性投資賬戶的開戶表格; 1555 (6/2022) 「協議」指本結構性投資及外匯掛鈎投資協議(包括本協議各附錄)及 包括(凡文義所允許)任何適用協議; 「適用協議」指客戶與本行不時協定或對其具約束力的任 何其他協議、文件或業務條款(包括但不限於任何附錄、 投資檔案問卷); 「工作日」指香港的商業銀行營業(包括外匯及外幣投資 交易)的日子(星期六及星期日除外),而就本行按本 協議項作付款而言,則指付款貨幣的主要金融中心的商 業銀行營業(包括外匯及外幣存款交易)的日子; 「計算期」指計算利息的任何時期; 「到期日」指確認書所指的日期; 「本金金額和利息金額」指有關確認書所指的金額; 「確認書」指本行發出載列投資詳情及資料的證書或 文件; 「客戶」指作出投資的人士,其資料載於開戶表格,並涵 蓋客戶的繼受者及受讓人。倘客戶包括兩名或以上人 士(人士包括個人、組織、公司及具名合伙實體的合伙 人)(i) 客戶的任何指稱將被視為個別地指各有關人士;

定義及詮釋. 1.1 “客戶”指上文所述的人士,獨資經營人,商號或法人團體;此名稱視屬何情況而定包括客戶的繼承人、遺囑執行人、產管理人、遺產代理人及繼任人及所有提述“客戶的”須作相應的詮釋。 1.2 “戶口”指客戶不時規定在國順證券開立及保持,用以進行證券交易之戶口或超過一個之戶口。 1.3 “客戶協議書” 指由客戶與國順證券簽訂之“現金客戶協議書”、“股票期權客戶協議書”、“電子證券交易服務協議書”、“保證金客戶協議書”及/或其他協議書(如適用者),以及一切由客戶填妥或由客戶及國順證券簽署之有關文件,包括所有上述協議書之修訂及後加條款。 1.4 “證券” 指任何根據法律名為證券或通常稱為證券的權益、權利或財產(不論文書或其他形式),包括但不限於: (a) 任何人士、政府或市政府當局的或由其發行的股份、股額、債權證、債權股額、基金、存款證、債券或票據; (b) 在(a)段所述各項目中的或關乎該等項目的權利、期權、遠期合約、期貨或權益(不論以單位或其他方式描述); (c) 在(a)段所述各項目的證明書或收據,或認購或購買該等項目的權證; (d) 在任何集體投資計劃中的權益。 1.5 “交易” 指購買、認購、出售、交換或在任何交易所以其他方式處置任何及所有種類證券所涉及的交易,包括(但不限於)證券保管以及提供代名人或提供托管服務,以及依據本協議進行的其他交易。 1.6 “交易密碼” 指客戶的通行密碼、個人身份密碼、使用者密碼或任何就其使用電子證券交易服務而不時向其知會的密碼。 1.7 “聯交所” 指香港聯合交易所有限公司,包括其繼承者、受讓人以及由於其重組、合併、並入而產生或保存的實體。 1.8 “證監會” 指香港證券及期貨事務監察委員會。 1.9 “條例”指香港法例第 571 章《證券及期貨條例》。

  • Training a. The employer, in consultation with the local, shall be responsible for developing and implementing an ongoing harassment and sexual harassment awareness program for all employees. Where a program currently exists and meets the criteria listed in this agreement, such a program shall be deemed to satisfy the provisions of this article. This awareness program shall initially be for all employees and shall be scheduled at least once annually for all new employees to attend. b. The awareness program shall include but not be limited to: i. the definitions of harassment and sexual harassment as outlined in this Agreement; ii. understanding situations that are not harassment or sexual harassment, including the exercise of an employer's managerial and/or supervisory rights and responsibilities; iii. developing an awareness of behaviour that is illegal and/or inappropriate; iv. outlining strategies to prevent harassment and sexual harassment; v. a review of the resolution of harassment and sexual harassment as outlined in this Agreement; vi. understanding malicious complaints and the consequences of such; vii. outlining any Board policy for dealing with harassment and sexual harassment; viii. outlining laws dealing with harassment and sexual harassment which apply to employees in B.C.

  • Medical There shall be an open enrollment period for medical coverage in each year of this Agreement. An employee may elect no medical coverage during any open enrollment period. An employee who has elected no medical coverage may elect medical coverage during an open enrollment period. No pre-existing condition limitations will apply.

  • Full Disclosure No written representation, warranty or other statement of Borrower in any certificate or written statement given to Bank, as of the date such representation, warranty, or other statement was made, taken together with all such written certificates and written statements given to Bank, contains any untrue statement of a material fact or omits to state a material fact necessary to make the statements contained in the certificates or statements not misleading (it being recognized by Bank that the projections and forecasts provided by Borrower in good faith and based upon reasonable assumptions are not viewed as facts and that actual results during the period or periods covered by such projections and forecasts may differ from the projected or forecasted results).
