Definice Confidential Information

Confidential Information means information that one party (or an Affiliate) discloses to the other party under this Agreement, and that is marked as confidential or would normally be considered confidential information under the circumstances. It does not include information that the recipient already knew, that becomes public through no fault of the recipient, that was independently developed by the recipient, or that was lawfully given to the recipient by a third party.
Confidential Information means any and all technical or commercial information and other material of a Party relating to, without limitations, its business, business plans, financial details, customers, partners, intellectual property, facilities, products, techniques or processes whether in oral, written or electronic form, that is specifically marked or otherwise communicated as being confidential at the time of disclosure or reasonably should be understood as being confidential in compliance with Section 504 of the Civil Code. CzMVO’s Confidential Information includes EMVO’s documents and other confidential information;
Confidential Information means non-public proprietary information of the disclosing party (“Discloser”) obtained by the receiving party (“Recipient”) in connection with this EULA, which is (a) conspicuously marked as confidential or, if verbally disclosed, is summarized in writing to the Recipient within 14 days and marked as confidential; or (b) is information which by its nature should reasonably be considered confidential whether disclosed in writing or verbally.

Examples of Confidential Information in a sentence

  • Trial Specific Confidential Information are either part of the text of the main Agreement or individual attachments to this Agreement.

  • Contract Partners will use reasonable efforts to secure confidential treatment of any Confidential Information that will be disclosed.

  • Institution and Investigator acknowledge that they also deem Trial Specific Confidential Information significant within the meaning of statutory definition of business secret (Section 504 of Act No. 89/2012 Coll., the Civil Code) and undertake to keep such information confidential in accordance with Section 2) hereof.

  • The recipient will ensure that those people and entities use the Confidential Information only to exercise rights and fulfil obligations under this Agreement, and that they keep it confidential.

  • Confidential Information shall be used only for the purposes of the Clinical Study or in connection with study subject care.


More Definitions of Confidential Information

Confidential Information is defined in paragraph 11.1 of these Business Terms and Conditions.
Confidential Information any information, whether in written or any other form, which has been or may in the future be disclosed to the receiving party by or on behalf of the other party and which is identified as confidential or is clearly by its nature confidential including the terms and conditions of this Agreement or any information concerning the business or affairs of Licensee or Licensor;
Confidential Information means any personal data, including birth register number and sensitive data, as well as any other information concerning the Client contained in the Agreement and any other information obtained by NFX from the Client or from other sources in the course of the contractual relationship between NFX and the Client, including information subjected to a legal protection, in particular to the protection pursuant to the Act on Personal Data Protection.
Confidential Information means all non-public information disclosed by a party to the other party which: (a) is marked as “Confidential” or with a comparable legend if disclosed in written, graphic, machine readable or other tangible form, or (b) which should be reasonably in good faith be treated as confidential or proprietary based on the nature of the information or the circumstance surrounding its disclosure. Confidential Information does not include information which: (i) is generally known or publicly available, or which, hereafter through no act or failure to act on the part of recipient, becomes generally known or available; (ii) is rightfully known to recipient at the time of receiving such information; (iii) is furnished to recipient by a third party without restriction on disclosure; or (iv) is independently developed by recipient without having relied on the Confidential Information of the disclosing party.
Confidential Information means all non-public scientific, technical, financial or other business information owned, possessed or used by Sponsor, or learned of or developed by Provider or Provider Personnel in connection with the Services, and Study Medication, whether or not labeled “Confidential,” including but not limited to (a) information about Sponsor’s products, customers, partners, and business operations and strategies, (b) Provider Documents and Developments (both as defined below), scientific data and information, (c) financial information, forecasts, and personnel information, (d) all information of third parties that Sponsor has an obligation to keep confidential, and (e) the terms and conditions of this Agreement.
Confidential Information. Information" means all information, data, know-how and documentation which Xxxxxx learns or receives from Xxxxx, except that which Seller can establish: (a) was on the date hereof generally known to the public; (b) became generally known to the public after the date hereof other than as a result of Seller's act or omission; (c) was contained in documents and rightfully known to Seller prior to Seller learning or receiving same from Buyer; (d) was disclosed by Buyer to third parties generally without restriction on use and disclosure; or (e) Seller lawfully received from a third party without that third party's breach of agreement or obligation of trust. All Information is confidential and proprietary to Buyer. Information shall at all times remain Buyer's exclusive property. Seller shall not permit any person to reproduce or copy any portion of the Information. All Information and all copies thereof shall be returned to Buyer promptly after completion of Xxxxxx'x performance hereunder or termination or expiration of this order. Seller shall use Information only to the extent necessary for Seller to perform Seller's obligations to Buyer hereunder. Seller shall not disclose Information to or permit access to Information by any third party except employees of Seller with a legitimate need to know Information to permit Seller to perform its obligations hereunder. The provisions of this paragraph shall survive termination, cancellation or expiration of this order.
Confidential Information means any information and data that is disclosed to Recipient within the scope of the Purpose in written, electronic or oral form by Discloser and that is either labelled as confidential or deemed as confidential, based on their nature or the conditions of their transmission, in particular prototypes and samples, software, business and trade secrets, know-how, test or work results, tender documents, agreements and draft agreements, technical specifications, drawings, outlines, plans, process descriptions, calculations, schedules and goals, correspondence and personal data as well as any other non-(trade)publicly available information, such as information concerning in-house relations and processes, including any copies and summaries thereof. Confidential Information, furthermore, includes the Parties conversing about the Purpose and exchanging Confidential Information. In case a Confidential Information as per this Agreement does not meet the requirements of a trade secret within the meaning of the German Trade Secrets Act (Geschäftsgeheimnisgesetz), this Confidential Information is nevertheless subject to the confidentiality obligations in accordance with this Agreement “Discloser” means the Party or any of its organs, employees, representatives, Affiliates or agents that furnishes information, directly or indirectly, to another Party.
