RESOLUTIONS. Resolutions of the Management Board shall generally be passed in meetings. At the request of a member of the Manage- ment Board, the meetings of the Man- agement Board may also be held in the form of a telephone conference or by other electronic means of communica- tion (especially by video conference) and individual members of the Management Board may be connected to the meet- ings via telephone or by other electronic means of communication (especially by video link) if no member of the Manage- ment Board objects to this procedure without undue delay; in such cases res- olutions may also be passed by way of the telephone conference or by other electronic means of communication (es- pecially by video conference).
