Force Majeure Event means any act, event, omission or accident beyond the reasonable control of either Party including, but not limited to, acts of God, extreme adverse weather conditions, natural disaster, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, breaking off of diplomatic relations or similar actions, terrorist attack, civil war, civil commotion or riots, nuclear, chemical or biological contamination or sonic boom, compliance with any law, regulation or directive, fire, explosion or accidental damage, failure of plant machinery, machinery, computers or vehicles, any labour dispute, including (but not limited to) strikes, industrial action or lockouts, non- performance by suppliers or subcontractors and interruption or failure of utility or transport service.

Examples of Force Majeure Event in a sentence

  • If iGrafx’s performance of any part of this Agreement is prevented or delayed or the Cloud Services are not available due to, including without limitation, an act of God, act of war, act of terrorism, civil unrest, fire, flood, governmental action, Internet service provider failures or delays, denial of service attack, labor dispute or other causes or circumstances beyond iGrafx’s control ("Force Majeure Event"), then iGrafx will be excused from performance for the length of that prevention or delay.

  • For the avoidance of doubt, a Force Majeure Event does not limit Customer’s obligations to pay fees duly owed to Coupa.

  • Dienstleistungen “ bedeutet die Dienstleistungen, die gemäß Spezifizierung in der Besonderen Dienstanweisung/ im Leistungsverzeichnis von Securitas im Rahmen dieser Vereinbarung zu erbringen sind.

  • Unternehmer “ ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.

  • Geschäftstag “ im Sinne dieser Anleihebedingungen ist jeder Tag (außer einem Samstag oder Sonntag), an dem (i) das Trans-European Automated Real-Time Gross Settlement Express Transfer System 2 (TARGET2) oder ein entsprechendes Nachfolgesystem und (ii) Clearstream geöffnet sind und Zahlungen abwickeln.

  • Nutzer “ bezeichnet diejenigen Mitarbeiter, Auftragnehmer und Endnutzer, die durch Sie oder in Ihrem Auftrag ermächtigt sind, die Services in Übereinstimmung mit dem Rahmenvertrag und Ihrem jeweiligen Auftrag zu nutzen. Für Services, die speziell dafür konzipiert sind, Ihren Klienten, Agenten, Kunden, Lieferanten oder anderen Dritten den Zugriff auf die Cloud Services zur Interaktion mit Ihnen zu gewähren, werden solche Dritte als „Nutzer“ betrachtet, für die die Bestimmungen des Rahmenvertrags und Ihres Auftrags gelten.
