Accession Memorandum definition

Accession Memorandum means a memorandum of an Affiliate substantially in the form of Exhibit A hereto evidencing the Affiliate's agreement to be bound by the terms of this Agreement; provided that such a memorandum shall contain such changes or additional provisions as may be deemed necessary by mutual agreement of the Administrative Agent, the Affiliate and the Company.
Accession Memorandum means (a) with respect to the STID, each memorandum to be entered into pursuant to clause 2 (Accession), clause 4 (Accession of Additional Obligors) or clause 33 (Benefit of Deed) (as applicable) of the STID and which is substantially in the form set out in Schedule 1 (Form of Accession Memorandum) of the STID, (b) with respect to the Bond Trust Deed, a memorandum in substantially the form set out in Schedule 7 (Form of Accession Memorandum) to the Bond Trust Deed pursuant to which a Relevant Financial Guarantor accedes to the Bond Trust Deed, and (c) with respect to the Common Terms Agreement, each memorandum to be entered into pursuant to clause 1.5 (Obligors) of the Common Terms Agreement and which is substantially in the form set out in Schedule 12 (Form of Accession Memorandum) of the Common Terms Agreement.

Examples of Accession Memorandum in a sentence

  • Any Accession Memorandum delivered pursuant to clause 3.5 will take effect upon execution by the Security Trustee unless a later date has been agreed by the Chargor, the Additional Beneficiary and the Security Trustee.

  • A new lender which becomes a lender pursuant to the provisions of any Loan Agreement shall not be required to execute an Accession Memorandum but shall become a Beneficiary automatically provided that the Representative appointed to act in relation to that Loan Agreement has executed an Accession Memorandum on behalf of all the lenders.
