Acquirer Stock Price definition

Acquirer Stock Price means the average of the closing sale prices of Acquirer Common Stock on the Nasdaq Global Select Market for the twenty (20) consecutive trading days ending with the trading day that is three (3) trading days prior to the Closing Date.
Acquirer Stock Price means the average daily closing sales price of Acquirer Common Stock as reported on NYSE for the 10 consecutive trading days ending two trading days prior to the Agreement Date.
Acquirer Stock Price means $65.03 per share of Acquirer Common Stock.

  • In lieu of any fractional shares of Acquirer Common Stock to which any Converting Holder would otherwise be entitled (after aggregating, for each particular stock certificate representing Company Capital Stock, all fractional shares of Acquirer Common Stock to be received by such holder), such Converting Holder shall receive from Acquirer an amount in cash (rounded to the nearest whole cent) equal to the product of (i) such fraction and (ii) the Acquirer Stock Price.

Acquirer Stock Price shall have the meaning specified in Section 1.8 hereof.
