Actual Development Costs definition
Actual Development Costs means in respect of each Firm Scheme, the amount of Development Costs actually incurred by the Grant Recipient in Delivering that Firm Scheme as such amount is warranted and certified by the Grant Recipient pursuant to Clause 12.3.2(d) (Grant Claim Procedures);
Actual Development Costs means in respect of each Capital Firm Scheme the amount of Development Costs actually incurred by the Relevant Consortium Member in Delivering that Capital Firm Scheme as such amount is warranted and certified by the Lead Partner pursuant to Clause 18.2.2(b) (Capital Grant Claim Procedures), Clause 18.3.1 (Capital Grant Claim Procedures) and Clause 18.5.2 (Capital Grant Claim Procedures);
Actual Development Costs shall have the meaning ascribed to such term in Section 3.1 hereof.

Unless the Partners agree otherwise, any additional amounts that Universal may pay to fund the Actual Development Costs in excess of the Development Budget shall be treated as part of the Initial Capital Contribution.

More Definitions of Actual Development Costs
Actual Development Costs means all Development Costs actually incurred prior to any relevant date;
Actual Development Costs means in respect of each Firm Scheme the amount of Development Costs actually incurred by the Relevant Consortium Member in developing that Firm Scheme as such amount is certified by the Lead Partner on IMS on behalf of the Relevant Consortium Member pursuant to Condition 12.2.3 or 12.4.3;

Actual Development Costs has the meaning set forth in the Third Supplement to School Funding Agreement.
Actual Development Costs shall be considered the actual costs incurred by CPP on or after December 1, 2012, plus those non-cancellable costs for which the obligation to pay has accrued to CPP, to Develop the Licensed Formulation through the effective date of a termination; provided, however, that for the period between the notice of termination and the effective date of such termination, the Actual Development Costs for such period shall not exceed the Wind-Down Expenses. For the purposes of this Subsection 9.3.4(a), that date would be the effective date of termination pursuant to Subsection 9.2.1; provided, however, that CPP shall not pay any Development Termination Fee as long as none of the Milestone payments mentioned in this Subsection 9.3.4
Actual Development Costs means the actual research and development costs of Inflazyme's Development Work, it being understood that such costs shall include only the direct costs of materials, labor, equipment, quality control, material handling, and utilities associated with the Development Work ("Direct Manufacturing Costs"), together with a reasonable allocation for Inflazyme's overhead costs associated with the Development Work of up to twenty percent (20%) of Direct Manufacturing Costs, which allocation shall be made in accordance with GAAP, and excluding costs associated with excess capacity, excess direct labor, inefficiencies, unusable material, or any other costs related to such manufacture which do not add value.
Actual Development Costs is defined in Section 9.3.4(a)(i).
