Direct Manufacturing Costs definition

Direct Manufacturing Costs has the meaning set forth in Section 6.11.
Direct Manufacturing Costs means the direct costs incurred in connection with the manufacture of the Authorized Product, including (i) those material expenses captured in invoices and the like that are specifically attributable to the manufacture of the Authorized Product, including costs of raw materials, manufacturing supplies, packaging, labels, and other materials used in production, (ii) labor expenses captured in time sheets and the like, including salaries and fringe benefits (but not overhead) for personnel directly involved in manufacturing the Authorized Product or any component thereof or purchasing or managing the materials used in the manufacture thereof or maintaining equipment necessary to support the manufacture thereof, (iii) expenses arising out of quality assurance requirements (e.g., good manufacturing practices) such as production, quality control, quality assurance, and other similar departments that are reasonably necessary and participate directly in the production of the Authorized Product or any component thereof, and (iv) equipment and facility depreciation and other allocations of fixed assets in use to support the manufacture of the Authorized Product or any component thereof, but in any event excluding any administrative overhead (e.g., costs associated with human resources, business development, and executive management). Direct expenses also include reasonable out-of-pocket payments to Third Parties (without mxxx-up) for services related to the manufacture of the Authorized Product or any component thereof.
Direct Manufacturing Costs shall have the meaning attributed in Annex 1 below.

Direct Manufacturing Costs means costs incurred by GW in the actual manufacturing of Product, established on a regular, standard basis in accordance with Accounting Standards as consistently applied by GW, expressed on a per unit basis. In the event of termination by Antigen Express pursuant to Section 6.3 or 6.7 above, and in order to complete the Study it is necessary for Antigen Express to purchase Merck Compound, Merck shall reimburse Antigen Express’ out of pocket costs for the purchase of Merck Compound (from a Third Party) necessary to complete the Study as contemplated by the Protocol; provided, however, that in no event shall Merck’s obligation to reimburse Antigen Express subject to this sentence exceed one hundred thousand US Dollars ($100,000) in the aggregate.
