Examples of Actual Resource Units in a sentence
Brown Act (“Brown Act”) set forth in California Government Code Sections 54950 and following, as they are now or may be amended.
During the Initial Services Period, Actual Resource Units for each Resource Unit Category shall be tracked by Provider and reported to Company on a [***]* basis.
In the event either Party anticipates that Actual Resource Units with respect to any Resource Unit Category are or will be [***]* for that Resource Unit Category for a [***]*, the Parties shall use Change Control to address the impact of such deviation and mutually agree as to what action, if any, should be taken with respect to such deviation, provided that this will not limit any ARCs or RRCs that accrue prior to any agreed Change Order.
If DIR Customers’ consumption of any Resource Unit is below the applicable Monthly Resource Baseline, DIR shall be credited the applicable RRC for each such Resource Unit at the applicable RRC rate, calculated as follows: RRC = [(Monthly Resource Baseline - Actual Resource Units*) x RRC rate)].
In the event such actual use exceeds or is less than the applicable Monthly Resource Baseline, Service Provider shall invoice DIR for an ARC or credit DIR a RRC, as applicable, as follows: If DIR Customers’ consumption of any Resource Unit is above the applicable Monthly Resource Baseline, DIR must pay the applicable ARC for each such Resource Unit at the applicable ARC rate, calculated as follows: ARC = [(Actual Resource Units* - Monthly Resource Baseline) x ARC rate)] *Based on April 2012 actual volumes.
If the Actual Resource Units fall below the applicable Baseline for such period, PacifiCare shall be credited a RRC in accordance with Section 17 of the Agreement and this Schedule with the current or future charges (or, if no future charges shall be due, Supplier shall make payment to PacifiCare) equal to the product of the RRC Rate for the applicable Resource Unit, as set forth in Attachment 17.3 to this Schedule, multiplied by the difference between the applicable Baseline and the Actual Resource Units.
At the end of each Volume Measurement Period, in the [***]*, Service Provider will calculate the Actual Resource Units for the completed Volume Measurement Period compared to the Baseline Volumes and will apply the applicable ARC or RRC amounts to be paid by or credited to Client for the previous Volume Measurement Period for both Canada and the US.
If the Actual Resource Units fall below the applicable RRC Deadband Baseline for such period, PacifiCare will be credited an RRC with the current or future charges (or, if no future charges will be due, Supplier will make payment to PacifiCare) equal to the product of the RRC Rate for the applicable Resource Unit, as set forth in Attachment 17.2 to this Schedule, multiplied by the difference between the applicable RRC Deadband Baseline and the Actual Resource Units.
Baseline Volumes and Band Limits (except for those measured by Employees Served) are expressed in [***]* terms, as included in Appendix C-2 of this Schedule, and will be divided by [***]* for purposes of comparing Actual Resource Units to Baseline Volumes and calculating ARCs and RRCs for any Volume Measurement Period.
For each Resource Unit, Supplier shall compare the quantity of Actual Resource Units used during the applicable measurement period with the Baseline for that Resource Unit.
