Actual VOD Retail Price definition

Actual VOD Retail Price means for each VOD Included Program, the actual amount paid or payable by each Subscriber (whether or not collected by Licensee) on account of such Subscriber’s selection of such VOD Included Program from the VOD Service, excluding sales, use, consumption and similar taxes. No other deductions shall be allowed unless otherwise agreed in writing between the parties. The Actual VOD Retail Price for each VOD Included Program shall be established by Licensee in its sole discretion.
Actual VOD Retail Price means for each VOD Included Program, the actual amount paid or payable by each VOD Customer (whether or not collected by Licensee) on account of such VOD Customer’s selection of such VOD Included Program from the VOD Service, excluding value added, sales, use, consumption and similar taxes (“Sales Taxes”) that Licensee or an Approved System has actually collected from the VOD Customer and remitted to the relevant tax authorities as required by applicable law. No other deductions shall be allowed unless otherwise agreed in writing between the parties. The Actual VOD Retail Price for each VOD Customer Transaction shall be established by Licensee in its sole discretion.

  • The “License Fee per VOD Buy” for each VOD Included Program received by a VOD Subscriber shall be the greater of the Actual VOD Retail Price and the Deemed VOD Price for such VOD Included Program, multiplied by (c) the applicable VOD Licensor Share.

In the event that the consideration offered to stockholders of the Company in any transaction described in this Section 2(h) or in Section 8(e) consists of anything other than cash, the Committee shall determine the fair cash equivalent of the portion of the consideration offered which is other than cash and such determination shall be binding on all affected Participants to the extent applicable to Awards held by such Participants.

  • Gross Sales Price with respect to each sale of Shares sold pursuant to this Agreement shall be the gross sales price per share of such Shares.

  • Net Invoice Price means the price paid by You for Your Vehicle including all factory fitted accessories and any discount given but excluding retailer fitted accessories, road fund licence, new vehicle registration fee, fuel, paintwork and / or upholstery protection kits, insurance premiums (including this Premium), warranty premiums and any such associated costs and any Negative Equity.

  • Actual Value means the greenhouse gas emissions savings for some or all of the steps of a specific biofuel, bioliquid or biomass fuel production process, calculated in accordance with the methodology laid down in Part C of Annex V or Part B of Annex VI;

  • Location Routing Number (LRN means the ten (10) digit number that is assigned to the network switching elements (Central Office–Host and Remotes as required) for the routing of calls in the network. The first six (6) digits of the LRN will be one of the assigned NPA NXX of the switching element.   • Adjusted Term SOFR Rate means, for any Interest Period, an interest rate per annum equal to (a) the Term SOFR Rate for such Interest Period, plus (b) 0.10%; provided that if the Adjusted Term SOFR Rate as so determined would be less than the Floor, such rate shall be deemed to be equal to the Floor for the purposes of this Agreement.

  • SAFE Price means the price per share equal to (x) the Valuation Cap divided by (y) the Fully Diluted Capitalization.

  • Gross Standard Volume as herein used means volume corrected to a temperature of sixty degrees (60°) Fahrenheit, in accordance with the latest API/ASTM measurement standards, and at equilibrium vapor pressure.
