Approved System definition

Approved System means those systems identified and maintained by the SDI Team in the Approved Systems list.
Approved System means a spray applied rigid polyurethane cellular plastic thermal insulation system which meets the CAN/ULC S705.01 National Standard (which includes any amendments thereto or any National Standard that replaces or succeeds this standard), there being supporting documentation (including without limitation any CCMC evaluation report and a copy of all test reports that support the evaluation).
Approved System means that certain closed video distribution system (i) delivered via fiber optic, coaxial cable and copper cable, (ii) currently known as “FiOS,” (iii) located solely in the Territory, (iv) which supports the Approved Delivery of electronic audio- visual content and (v) which is, at all times during the Term, wholly owned, controlled and operated by Licensee and/or wholly-owned affiliates of Verizon Communications Inc. Licensee represents, warrants, and covenants that the Approved System does and at all times during the Term shall conform to the provisions of Schedule A, Article 8.

  • Licensee shall comply and shall cause the Approved System to comply with all commercially reasonable instructions and specifications provided by Licensor concerning the storage and management of its digital files and materials for the Included Programs, at Licensee’s sole expense or at both parties’ expense as mutually agreed to by the parties hereto.

  • Licensor shall have the right to suspend the availability (“ Suspension”) of its Included Programs, in whole or in part, on the VOD Service and the Approved System at any time during the Term in the event of a Security Breach or Territorial Breach by delivering a written notice to the Licensee of such suspension (a “Suspension Notice”).

  • Upon receipt of such written notice, Licensee shall and shall cause the Approved System to include the Included Programs on the VOD Service/Approved System as soon thereafter as practicable.

  • Licensee shall be solely responsible for all arrangements and costs associated with transport of Copies from TVN and other technical delivery services relating to the delivery of the Included Programs from TVN to Licensee’s Approved System and from Licensee to Subscribers.

  • Licensee and any Approved System may offer a reasonable per picture discount for double features of Included Programs on a limited basis, provided that no such discount shall relieve Licensee or such Approved System from its obligation to pay an amount equal to the License Fees that would be payable hereunder with respect to such Included Programs if no discount were applicable.


More Definitions of Approved System

Approved System means each Delivery System in the Territory over which the Licensed Service is transmitted and that meets at all times the following criteria: (i) such transmission system offers a uniform menu of channels and programming options to subscribers within a given geographic area, (ii) such system is owned and controlled by Licensee or an Approved Sublicensee or is approved by Licensor in the manner set forth below and (iii) utilizes Approved Set-Top Boxes only. For the avoidance of doubt, Interactive Media shall not constitute an “Approved System” hereunder. Licensee represents and warrants to Licensor that each Approved System meets, as of the date hereof, and covenants that each such Approved System shall at all times meet, the criteria set forth in the foregoing clauses (i), (ii) and (iii). Licensee covenants and agrees to notify Licensor promptly as and when Licensee is notified of any material changes in the names or ownership of any previous Approved System, and Licensor shall have the right to withdraw its approval of any such system, in its sole discretion. If Licensee at any time wishes a transmission system owned and controlled by an entity not listed on Schedule A hereto to be subject to this Agreement it shall so request Licensor in writing not less than 90 days prior to the date of the proposed launch of Included Films via the Licensed Service on such transmission system, together with such system’s “System Details”. Licensor shall notify Licensee if such system is approved in Licensor’s sole discretion within such 90-day period and any failure so to respond shall not be deemed an approval. As used herein, “System Details” for a system shall mean: (i) its demographic market and geographic area, (ii) the number of households subscribing to such system, (iii) the number of overall channels, Pay-Per-View channels and video-on-demand channels of such system, (iv) the set-top box or similar mechanism to be used by such system, together with a detailed description of its specifications, (v) the date of launch of such system and such other information as Licensor may request. Licensee shall notify Licensor in writing no less than 30 days prior to the effective date of the System Details for the proposed Approved System.
Approved System means the closed system coaxial cable and/or copper wire and/or fiber optic cable and/or closed system IP/DSL network infrastructure (including ADSL/ADSL 2+/FTTH technologies) that shall at all times during the Term be (a) located solely within the Territory, (b) wholly owned and/or operated by Licensee or the relevant Approved Distribution Partner as the case may be and (c) authorized by Licensee to carry the Licensed Service, including (in each case, so long as each continue to meet the preceding requirements) all Approved Distribution Partners.
Approved System means a vendor-provided career information and decision-making system which meets the requirements of rule 281—49.6(279).
