Co-Lead Class Counsel, the Class Representatives, and Additional Plaintiffs agree to provide the Settling Defendants all identification information necessary to effectuate the payment of the fees and costs including, but not limited to, Taxpayer Identification Number(s), and completed Internal Revenue Service Form W-9(s).
Class Counsel also intends to request the Court grant awards to the Lead Plaintiff and Additional Plaintiffs, in accordance with 15 U.S.C. § 78u-4(a)(4), not to exceed $125,000 total, as reimbursement for their time and expenses in overseeing the prosecution of this Action.
Class Counsel will ask the Court to approve, and SPE will not oppose, service awards not to exceed $24,000 in total to compensate Plaintiffs and $10,000 in total to compensate Additional Plaintiffs for their efforts in the litigation and commitment on behalf of the Settlement Class (“Service Awards”).
This Agreement will remain effective for all purposes irrespective of whether the Court grants Class Counsel’s request for attorneys’ fees or awards Class Counsel, the Class Representatives, or the Additional Plaintiffs a lesser amount than that requested.
This Agreement and all of the provisions hereof shall be binding upon and inure to the benefit of the Parties hereto and the Released Persons and their respective successors and permitted assigns; provided, however, that neither this Agreement nor any of the rights, interests, or obligations hereunder may be assigned by the Settling Plaintiffs, Settling Unfiled Claimants, Settling Additional Plaintiffs, Plaintiffs’ Counsel or Settling Plaintiffs’ Counsel without the prior written consent of the NHL.
