Affiliate Guarantors definition

Affiliate Guarantors means, jointly and severally, Macerich Great Falls Limited Partnership, a California limited partnership, Macerich Oklahoma Limited Partnership, a California limited partnership, Macerich Westside Adjacent Limited Partnership, a California limited partnership, Macerich Sassafras Limited Partnership, a California limited partnership, Northgate Mall Associates, a California general partnership, and any other guarantors executing Supplemental Guaranties in accordance with Section 4.1 of the Credit Agreement.

Affiliate Guarantors is defined in the preamble.

Affiliate Guarantors means (1) ntl Kirklees, a private unlimited company incorporated under the laws of England and Wales; and (2) ntl Glasgow, a private unlimited company incorporated under the laws of Scotland, each of which is an indirect Subsidiary of Virgin Media and has provided a guarantee under the Existing Senior Secured Notes.

• As credit support for the Obligations, on or before the Closing Date, the Westcor Guarantors, the Wilmorite Guarantors and the Affiliate Guarantors shall each execute and deliver to the Administrative Agent, for the benefit of the Lenders, a Subsidiary Guaranty.

• The final paragraph of Section 10.2 of the Note Purchase Agreement is hereby amended and restated in its entirety as follows: For so long as the Notes remain outstanding, each of the Company and the Initial Affiliate Guarantors must be organized under the laws of the United States or any state or territory thereof (including, for the avoidance of doubt, after giving effect to any of the transactions contemplated by this Section 10.2 involving an Obligor).

Affiliate Guarantors means the collective reference to (a) each Affiliate of Hicks Muse or Olympus that holds carried interests in any Nex Xxxtfolio Company (except to the extent that a carried interest is attributable to an investment by a Specified Fund in such New Portfolio Company) and (b) HM & Co. and each other Affiliate of Hicks Muse or Olympus that receives fee income (whether in the xxxm of management fees, transaction fees, investment banking fees, advisory fees or otherwise) from or in respect of any New Fund, any New Portfolio Company or any Investment Party (except to the extent that such fee income is attributable to an investment by a Specified Fund in such New Portfolio Company, with any allocation of such fee income attributable to a Specified Fund and a New Fund being made in a manner equitable to the Lenders hereunder), in each case whether now existing or subsequently formed.

Affiliate Guarantors means, collectively, Generic Technology Limited, a Fiji corporation, Datec (Fiji) Limited, a Fiji corporation, Network Services Limited, a Fiji corporation, Xxxxxxx Technology Group (NZ) Limited, a New Zealand corporation, Datec Investments Limited, a New Zealand corporation, Mobile Technology Solutions Limited, a New Zealand corporation, Datec (Samoa) Ltd., a Samoa corporation, and Datec (Tonga) Limited, a Tonga corporation, and “Affiliate Guarantor” means any of them.

Affiliate Guarantors each is defined in Section 4.1 hereof.

Affiliate Guarantors means each of Foods Holdings, Wise Holdings and, after any transfer of the Dairy Business to an Affiliate that executes an Affiliate Assumption Agreement, such Affiliate, in each case until it is released from its guarantee obligations under Article VII in accordance with the provisions of Section 7.05.
