Agreed Announcements definition

Agreed Announcements means the announcements of Newmont and Normandy in the terms set out in Schedule 1 to this Deed or in such other terms as the parties may jointly approve which, in relation to the announcement of Normandy, includes the recommendation of the Normandy Board of the Bid in terms acceptable to Newmont.
Agreed Announcements means the announcements in relation to the Transaction (and any Financing) to be made by Xxxxxx and Xxxxxx following execution of this deed in accordance with clause 6, the form of which has been agreed between the parties prior to execution of this deed.
Agreed Announcements means: (a) the announcement of the execution of this deed that may be made by the Seller, or a Seller Group Member, in the agreed form; (b) the announcement of the execution of this deed (which, to avoid doubt, includes any investor presentation and any launch announcement that may be released by the Buyer in respect of the Sale or the equity raising to be launched by the Buyer in connection with the Sale) that may be made by the Buyer, or a Buyer Group Member, in the agreed form; and (c) any announcements made by the Buyer about the conduct or the results of the equity raising to be launched by the Buyer in connection with the Sale, or any other funding proposal or share issue contemplated in connection with the Sale.

More Definitions of Agreed Announcements

Agreed Announcements has the meaning given to that term in Clause 17.2.2;
Agreed Announcements means the press releases in the approved terms in relation to the signing of this Agreement and the transactions contemplated hereby. Applicable Law means, in respect of a person, all laws, regulations, statutes, subordinate legislation, common law and civil codes of any jurisdiction, and all judgments, orders and awards of any court or Government Authority or tribunal exercising statutory or delegated powers, that are binding upon or applicable to such person. Authorities has the meaning given to it in paragraph 2.1 of Part VII - of Schedule 5.
Agreed Announcements means the announcements in the agreed terms to be made by the parties following signature of this Agreement;
Agreed Announcements. ​ means the announcements to be released by each of Vodafone and Swisscom shortly following the entry by the Parties into this Agreement, in the form agreed between the Parties pursuant to clause 35.1;

  • Press Announcement means the press announcement relating to the Transaction in the Agreed Form;

  • Funding Announcement or “Request for Applications (RFA)” means the document (including all exhibits, attachments, and published addenda), issued by the System Agency under which applications for grant funds were requested, which is incorporated by reference in the Grant Agreement for all purposes in its entirety.

For the avoidance of doubt, announcements as used in the definition of Acquisition Transaction Announcement refer to any public announcement whether made by the Issuer or a third party.

  • Potential Change of Control Announcement means any public announcement or statement by the Issuer or by any actual or potential bidder or any designated adviser thereto relating to any specific or any near-term potential Change of Control (whereby "near-term" shall mean that such potential Change of Control is reasonably likely to occur, or is publicly stated by the Issuer or by any such actual or potential bidder or any such designated adviser to be intended to occur, within four months of the date of such announcement or statement).

  • Relevant Potential Change of Control Announcement means any public announcement or statement by the Issuer, any actual or potential bidder or any adviser acting on behalf of any actual or potential bidder relating to any potential Change of Control where within 180 days following the date of such announcement or statement, a Change of Control occurs.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Borrower with the relevant Securities Regulators pursuant to the requirements of Securities Laws, including all documents publicly available on the Borrower’s SEDAR profile.

  • Press Release has the meaning set forth in Section 4.5.

  • Public Disclosure means disclosure in a press release reported by the Dow Jones News Service, Associated Press or comparable national news service or in a document publicly filed by the corporation with the Securities and Exchange Commission pursuant to Section 13, 14 or 15(d) of the Exchange Act.

  • Announcement Date means the first general public announcement or the first communication generally to shareholders of a corporation, whichever is earlier, of the proposal or intention to make a proposal concerning a business combination.

  • Closing Press Release has the meaning set forth in Section 5.4(b).

  • Announcement Event means the occurrence of an Announcement Date in respect of a Merger Event or Tender Offer, notwithstanding the fact that such Merger Date or Tender Offer Date may not, or may not be anticipated to, occur on or prior to the Valuation Date for the related Component. The definition of “Announcement Date” in Section 12.1(l) of the Equity Definitions shall be amended by (a) replacing the word “leads” in the third line thereof and in the fifth line thereof with the words “could lead (as determined by the Calculation Agent)” (b) deleting the word “firm” in the second and fourth lines thereof and (c) inserting the words “, and any publicly announced change or amendment to such an announcement (including the announcement of an abandonment of such intention)” at the end of clauses (i) and (ii) thereof. Consequences of Merger Events: Merger Event:

  • Required Disclosure Date means (x) if such Buyer authorized the delivery of such Confidential Information, either (I) if the Company and such Buyer have mutually agreed upon a date (as evidenced by an e-mail or other writing) of Disclosure of such Confidential Information, such agreed upon date or (II) otherwise, the seventh (7th) calendar day after the date such Buyer first received any Confidential Information or (y) if such Buyer did not authorize the delivery of such Confidential Information, the first (1st) Business Day after such Buyer’s receipt of such Confidential Information.

  • Publication NPC-233 means the Ministry Publication NPC-233, "Information to be Submitted for Approval of Stationary Sources of Sound", October, 1995 as amended.

  • Commercially Sensitive Information Schedule means the Schedule containing a list of the Commercially Sensitive Information.

  • Informed Financial Consent means the medical provider advises you of any out-of-pocket costs before your admission. This is called Informed Financial Consent.

  • Signing Press Release has the meaning set forth in Section 5.4(b).

  • Publicity means any form of advertisement and includes any advertisement –
