The Loan Agent and the Initial Lender hereby appoint U.S. Bank National Association as Indenture Trustee under the Aircraft Mortgages.
Borrower shall provide an updated Aircraft Collateral Certificate together with any other information, documentation (including Aircraft Mortgages and supplements thereto), financing statements, appraisals, certificates and legal opinions as may be necessary or advisable, in the Permitted Discretion of Agent, to vest in the Agent, a perfected security interest, subject only to Permitted Encumbrances, in such additional Aircraft Collateral and to verify the NOLV of such additional Aircraft Collateral.
Without limiting the foregoing, the Agent shall have received evidence satisfactory to it of the filing for recordation with the FAA of each of the Aircraft Mortgages and registration with the International Registry of the International Interests, as defined in the Cape Town Convention, intended to be created thereby (together with any other necessary documents, instruments, affidavits or certificates) as the Agent may deem reasonably necessary to perfect and protect the Liens created thereby.
The obligations of the Borrower hereunder are secured by valid, perfected, first-priority Liens (subject to Permitted Liens) in favor of the Lender, covering and encumbering all “Collateral” granted or purported to be granted by each of the Collateral Documents, in each case, to the extent perfection has occurred by the recording of the applicable Aircraft Mortgages with the FAA, the filing of a UCC financing statement or by continued possession or control.
The effectiveness of this Agreement is expressly subject to the condition subsequent that the Agent shall have received within 30 days of the date of this Agreement a Notice and Acknowledgment of Mortgage (substantially in the form of Appendix L) duly acknowledged by each lessee of an Aircraft with respect to the respective Aircraft Mortgages, in all respects in form and substance satisfactory to the Agent and its legal advisers.
