Aircraft Security Documents means, in respect of an Aircraft, each of:

Aircraft Security Documents means, in respect to any aircraft owned by any Loan Party, (a) if such aircraft is registered with the FAA, (i) an aircraft mortgage and security agreement, duly executed by such Loan Party in favor of the Administrative Agent, as security agent and mortgagee, (ii) a satisfactory title search of the FAA registry, (iii) a title memorandum from counsel to the Administrative Agent certifying that such Loan Party has clean title to such aircraft, (iv) a xxxx of sale and aircraft registration application duly filled out and executed by such Loan Party in respect of such aircraft and (v) applicable FAA application pink forms for such aircraft, and (b) otherwise, similar documents in the jurisdiction of registration of such aircraft as may be requested by the Administrative Agent in its reasonable discretion.

Examples of Aircraft Security Documents in a sentence

  • WTC accepts the trusts and duties created hereby and by the other Aircraft Security Documents and applicable to it and agrees to perform such duties, but only upon the terms of this Indenture or the other Aircraft Security Documents, as the case may be, and agrees to receive, handle and disburse all monies received by it as Loan Trustee constituting part of the Collateral in accordance with the terms hereof.

  • The Borrower shall enter into or shall procure that the relevant Sub-Borrower (if any) or relevant Intermediate Lessee (if any) enters into all such documents as are required in order for the Replacement Aircraft to be an Aircraft including Aircraft Security Documents relating to the substitution of the Existing Aircraft and for the Loan in respect of the Existing Aircraft to relate to the Replacement Aircraft.

  • The Owner shall have good title to the Aircraft and to the other Collateral pledged by it under the Indenture and the Aircraft Security Documents to which it is a party, free and clear of all Liens except Permitted Liens.

  • None of the Finance Parties or any Export Lessee shall have any independent power to enforce any of the Aircraft Security Documents, to exercise any rights and/or powers or to grant any consents or releases under or pursuant to any of the Aircraft Security Documents or otherwise have direct recourse to the security constituted by any of the Aircraft Security Documents.

  • Unless and until the Security Trustee shall have received such directions or instructions, the Security Trustee shall not be required to ensure that any action is taken under any of the Aircraft Security Documents.

  • Each of the Aircraft Security Documents to which LATAM is a party creates in favor of the Loan Trustee, for the benefit of the Noteholders, the Indenture Indemnitees and the Related Indenture Indemnitees, a valid and perfected Lien on the Collateral purported to be subjected to the Lien of such Aircraft Security Document on the Closing Date, subject to no equal or prior Lien, except Permitted Liens.

  • Such Company may elect to apply such payment toward the repair, replacement or restoration of any property in respect of which such payment was made by the insurance carrier no later than 150 days following the date of receipt of such payment; provided, all property purchased with such payment shall made be subject to the first priority Lien of this Agreement or the Aircraft Security Documents.

  • A Uniform Commercial Code financing statement or statements covering the security interest created by the Indenture, and the Aircraft Security Documents, naming the Owner or LATAM, as applicable, as debtor, and the Loan Trustee, as secured party, shall have been duly filed in all places necessary or desirable within the District of Columbia and the State of Florida.

  • Upon the execution and delivery of this Agreement, the Aircraft Security Documents shall be filed for recording with the Federal Aviation Administration.

  • In connection with such transfer, the Lessee shall prepare and the Lessor shall execute, all in form recordable in the Government of Registry, a bxxx of sale evidencing such transfer, the termination of this Lease and such other documents (including the discharge of the Lien of the Aircraft Security Documents with respect to the Aircraft) as the Lessee may reasonably request, all at the expense of the Lessee.

  • UK Security Documents means the UK Pledge Agreements and the UK Debenture.

  • Dutch Security Documents means the Dutch Share Pledges, the Dutch Intercompany Pledges and any other Dutch law security document creating security for the benefit of the Collateral Agent.

  • U.S. Security Documents means and include the U.S. Security Agreement, the U.S. Pledge Agreement, each Mortgage covering a U.S. Mortgage Property and each Additional Security Document covering assets of a U.S. Credit Party situated in the United States.

  • Transaction Security Documents means each of the documents listed as being a Transaction Security Document in paragraph 2(e) of Part I of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement and any document required to be delivered to the Administrative Agent under paragraph 3(d) of Part II of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement together with any other document entered into by any Obligor creating or expressed to create any Security over all or any part of its assets in respect of the obligations of any of the Obligors under any of the Finance Documents (and any other Debt Documents).

  • Collateral Security Documents Any document or instrument given to secure or guaranty the Mortgage Loan, including without limitation, the Mortgage, each as amended, supplemented, assigned, extended or otherwise modified from time to time.

  • Foreign Security Documents means the collective reference to the security agreements, debentures, pledge agreements, charges and other similar documents and agreements pursuant to which any Grantor purports to pledge or grant a security interest in any property or assets located outside of the United States (including any Pledged Equity Interests of any Issuer organized under a jurisdiction other than the United States or any state or locality thereof securing the Secured Obligations).

  • Additional Security Documents shall have the meaning provided in Section 9.12(a).

  • Credit Agreement Collateral Documents means the Security Agreement, the other Collateral Documents (as defined in the Credit Agreement) and each other agreement entered into in favor of the Credit Agreement Collateral Agent for the purpose of securing any Credit Agreement Obligations.

  • UK Security Agreement means each of the security documents expressed to be governed by the laws of England (as modified, supplemented, amended or amended and restated from time to time) covering certain of such UK Loan Party’s present and future UK Collateral.
