Allocation Counsel definition

Allocation Counsel means the following counsel who have been appointed by Plaintiffs’ Class Counsel to serve as separate counsel for and representing each Subclass for the purposes of advocating allocation of the Net Common Fund across the Subclasses: Xxxx Xxxxxxx of Xxxxxx Xxxxxxx LLP (Subclass 1), Xxxxx Xxxx of Xxxxxx Xxxx LLC (Subclass 2), Xxxxxxx Xxxxxxxxx of Xxxxxxxx Xxxxxx, P.A. (Subclass 3), Xxxxxx Xxxxx of Xxxxx Xxxxxxxx Flexner LLP (Subclass 4), and Xxxx Xxxxxxx of XxXxxxx Xxxxxx Xxxxxxx (Subclass 5). Xx. Xxxxxxx was appointed by the MDL Court to the Executive Committee in MDL 2543 pursuant to Order No. 8 (Docket No. 249), and the other Allocation Counsel are each respectively law firm partners of individual counsel appointed by the MDL Court to the Executive Committee pursuant to Order No. 8. Xx. Xxxx is a partner with Xxx Xxxx of Xxxxxx Xxxx LLC; Mr. Xxxxxxxxx is a partner with Xxxxx Xxxxxx of Xxxxxxxx Xxxxxx, P.A.; Xx. Xxxxx is a partner with Xxxxx Xxxxx of Xxxxx Xxxxxxxx Flexner LLP; and Xx. Xxxxxxx is a partner with Xxxx Xxxxxx of XxXxxxx Xxxxxx Xxxxxxx. The Allocation Decision, attached hereto as Exhibit 2, was decided by the Court-Appointed Economic Loss Mediator.
Allocation Counsel means Ben Bailey, Jane Conroy and Mike Kelly, who have been appointed by Plaintiffs’ Class Counsel to serve as separate counsel to negotiate among themselves, under the supervision of the Settlement Special Master, the parameters for distribution of certain of the consideration set forth herein pursuant to Section II(A).
Allocation Counsel means the counsel Class Counsel designated to separately advocate for the interests of the Direct Settlement Class and the Exchange-Only Settlement Class to achieve an equitable allocation of the Net Settlement Fund.

Examples of Allocation Counsel in a sentence

  • New GM shall have no responsibility to make any payment to Plaintiffs’ Class Counsel, Allocation Counsel, Designated Counsel or any other counsel arguing that it has conferred a benefit upon Plaintiffs, the Class, or any Class Member other than the amount in Attorneys’ Fees and Expenses awarded by the MDL Court, which amount shall not exceed Thirty Four Million Five Hundred Thousand U.S. Dollars ($34,500,000.00).

More Definitions of Allocation Counsel

Allocation Counsel means the one or two lawyers other than Settlement Counsel designated as such by the Class Plaintiffs in each of the respective Affected Actions. Allocation Counsel may associate other lawyers or law firms who represent client(s) who have an interest in the allocation to assist in the duties of Allocation Counsel. Notwithstanding the foregoing, no lawyer or law firm shall serve as Allocation Counsel, or assist Allocation Counsel, in more than one of the Affected Actions.

(Subclass 3), Steven Davis of Boies Schiller Flexner LLP (Subclass 4), and John Tangren of DiCello Levitt Gutzler (Subclass 5). Mr. Seltzer was appointed by the MDL Court to the Executive Committee in MDL 2543 pursuant to Order No. 8 (Docket No. 249), and the other Allocation Counsel are each respectively law firm partners of individual counsel appointed by the MDL Court to the Executive Committee pursuant to Order No. 8.   • Senior Counsel means a legal practitioner appointed by the President as a Senior Counsel of Namibia in terms of section 79(3) of the Legal Practitioners Act, 1995 (Act No. 15 of 1995).

  • Independent Tax Counsel means a lawyer, a certified public accountant with a nationally recognized accounting firm, or a compensation consultant with a nationally recognized actuarial and benefits consulting firm with expertise in the area of executive compensation tax law, who shall be selected by the Employer and shall be reasonably acceptable to the Executive, and whose fees and disbursements shall be paid by the Employer.

  • Special Legal Counsel means a law firm, or a member of a law firm, that is experienced in matters of corporate law and neither presently is, or in the past two years has been, retained to represent (i) the Indemnitor or the Indemnitee in any matter material to either such party, or (ii) any other party to the Proceeding giving rise to a claim for indemnification hereunder.

  • Class Counsel Fees means the fees of Class Counsel, and any applicable taxes or charges thereon, including any amounts payable as a result of the Settlement Agreement by Class Counsel or the Settlement Class Members to any other body or Person, including the Fonds d’aide aux actions collectives in Quebec.

  • Neutral Auditor means Ernst & Young or, if Ernst & Young is unable to serve, an impartial nationally recognized firm of independent certified public accountants other than Seller’s accountants or Purchaser’s accountants, mutually agreed to by Purchaser and Seller.

  • Engineer’s Representative means the official in the civil/ electrical engineering department who is authorized to be in-charge of the work to which these presents relate. It shall include any other official nominated to attend to the supervision of day to day execution of the work to which this CONTRACT relates.

  • Benefits Specialist means a specialized position that would primarily be responsible for coordinating Client applications and appeals for State and Federal benefits.
