Ally Collateral definition

Ally Collateral means the ALLY Priority Collateral (as such term is the defined in the ALLY Intercreditor Agreement) and the ALLY Pledged Funds.
Ally Collateral means (i) all automobiles, vans, or light duty trucks that are not manufactured for a particular commercial purpose (herein, “Vehicles”), (ii) all accounts, (iii) all general intangibles (including but not limited to all intellectual property and all licenses in relation thereto), (iv) all chattel paper and (v) certain deposit accounts (together with all replacements, substitutions, or additions to such deposit accounts (such deposit accounts collectively, the “Ally Collateral Accounts”), along with all cash, cash equivalents, or other collections in such Ally Collateral Accounts (in each case of items (ii) through (v), each category of the Ally Collateral, as defined in the UCC as in effect in the State of Arizona) owned by Carvana, LLC, a Subsidiary of the Company, wherever located, whether now existing or thereafter arising or acquired (including property that is reacquired by Carvana, LLC for any reason, including but not limited to: voluntarily or involuntarily, through the unwinding of a transaction, by operation of law such as resulting from an avoidance action, or otherwise), together with any and all accessions, additions, attachments, replacements, substitutions, returns, profits and proceeds (as “proceeds” is defined in the UCC as in effect in the State of Arizona) in whatever form or type that are the subject of the Liens in favor of the Ally Parties pursuant to the Inventory Financing and Security Agreement, dated September 22, 2022, by and among Carvana, LLC and the Ally Parties (as in effect on September 22, 2022, as amended by the amendment thereto to be entered into as at the Issue Date and as further amended, restated, amended and restated, supplemented and/or otherwise modified from time to time in accordance with the Ally Intercreditor Agreement).
