AMP definition

AMP means ABRY Mezzanine Partners, L.P., a Delaware limited partnership.
AMP means the average manufacturer price, as defined at 42 U.S.C. § 1396r-8(k)(1) and 42 C.F.R. § 447.500 et seq.

The term of this Agreement (the "Term"), and Executive's employment with the Company hereunder, shall commence at the Effective Time and, unless earlier terminated in accordance with the terms hereof, shall continue until the third anniversary of the Effective Time (such initial term of the Agreement referred to as the "Initial Term"); PROVIDED, HOWEVER, that the Term shall automatically be renewed for successive, additional three year periods at the end of the Initial Term and each renewal term thereafter, unless either the Company or the Executive provides at least one year's notice to the other of its intention not to renew the Term; and PROVIDED, FURTHER, that if the "IPO", Sale, or Merger, is terminated in accordance with its terms prior to the Effective Time or the "IPO," the Sale or Merger is abandoned or otherwise does not close, (x) this Agreement shall automatically terminate without further obligation by either party hereto, (y) the terms and conditions set forth in this Agreement shall not apply and (z) the employment of the Executive shall continue to be governed by the terms and conditions set forth in the Prior Agreement. During the Term, the Executive shall be employed as the Senior Vice President, Regional Operations Officer of the Company, reporting to the President and Chief Executive Officer of the Company, with the traditional duties, responsibilities and authority of such office of companies similar in size to the Company. The Executive agrees that he shall perform his duties hereunder faithfully and to the best of his abilities and in furtherance of the business of the Company and its subsidiaries and shall devote substantially all of his business time, energy and attention to the business of the Company and its subsidiaries.
