Annual Release Maintenance Fees definition

Annual Release Maintenance Fees means those recurring annual fees of the Vendor, usually invoiced annually in January, the Owner's payment of which entitles the Owner to receive all Combined Software Releases, Software Enhancements, and Software Upgrades applicable to PCS Products (but not Optional Software Features) which will be made available to the Owner when made generally available to the Vendor's Customers during the period for which the fees were paid. All Annual Release Maintenance Fees will be as in the Vendor's Customer Price Guides (subject to Section 26) except as otherwise set forth on Schedule 3. The Annual Release Maintenance Fees applicable to the Owner will for the period from the Effective Date until the Final Acceptance of the last PCS System within the Initial System always cover at least those PCS Products included in the Initial System.

Examples of Annual Release Maintenance Fees in a sentence

  • The Vendor must maintain a technical assistance center in the United States, and during the Warranty Periods established pursuant to subsections 17.1(a), 17.1(b), 17.2 and 17.3, respectively, will make such support center available to the Owner twenty-four (24) hours per day free of any additional charge to the Owner (other than applicable Annual Release Maintenance Fees).

  • The Vendor will provide the specified support services for the operation, maintenance and repair of the System and all Products to the extent set forth herein below and at the Annual Release Maintenance Fees.

  • During the Contract Term, upon payment of the Annual Release Maintenance Fees, calculated pursuant to Exhibit B-5, Owner shall receive all base Software releases and all Software Maintenance Releases, Software Upgrades, Software Enhancements and Software Combined Releases applicable to Software for Products for which the Owner has obtained a RTU License at such times as they become generally available to the Vendor's customers.

  • If Megatel elects to discontinue payment of Annual Release Maintenance Fees and then subsequently wishes to license new Base Generic Releases or Software Modifications separately, the price for Base Generic Releases and Software Modifications not covered by the Software Warranty shall be agreed to by the Parties.

  • Reverse Termination Fee has the meaning set forth in Section 7.02(b).

  • Annual Renewal Date means the date in any calendar year, subsequent to the year in which the Policy comes into effect, corresponding numerically with the Policy Commencement date in that subsequent year.

  • Severance Costs means the costs which the employers are legally obliged to pay to or in respect of the Crew as a result of the early termination of any employment contract for service on the Vessel.

  • Annual Salary means the salary given under this Part.

  • Base Compensation means the amount equal to the sum of (i) the greater of Executive’s then-current Annual Base Salary or Executive’s Annual Base Salary as of the date one day prior to the Change in Control, and (ii) the Average Incentive Bonus.

  • Annual Base Rent means the business’s annual lease payment minus taxes, insurance and operating or maintenance expenses.

  • Annual Fees means the annual fees charged by the Trustee for services provided as the trustee and paying agent under the Indenture.
