Approved Sublicensee definition

Approved Sublicensee means any Person sublicensed by Cytogen with AM's written consent under the terms of this Agreement.

Approved Sublicensee shall have the meaning given in Clause 3.4.

Examples of Approved Sublicensee in a sentence

• The Licensee must procure and ensure any Approved Sub-licensee complies with the terms of this Agreement as if the Approved Sub- licensee is a party to this Agreement in the capacity of the Licensee.

• The Licensee may not sub-license its rights under clause 2.1 other than to an Approved Sub-licensee.

• Licensee shall ensure that any Approved Affiliate and/or Approved Local Distributor (each an “Approved Sublicensee” and together “Approved Sublicensees”) complies with all the terms of this Agreement as if it was the Licensee under this Agreement, and Licensee shall be liable for the acts and omissions of such Approved Sublicensee as if such acts and/or omissions were the act and/or omissions of the Licensee.

• The Licensee must procure and ensure any Approved Sub- licensee complies with the terms of this Agreement as if the Approved Sub-licensee is a party to this Agreement in the capacity of the Licensee.

• XTL shall be entitled to grant Sublicenses under the License to (1) any Substantial Third Party and (2) any Non Substantial Approved Sublicensee.

More Definitions of Approved Sublicensee

Approved Sublicensee means each of the distribution partners set forth in Schedule A hereto to whom the Licensed Service may be sublicensed in accordance with Section 2.2 below.

Approved Sublicensee means (i) any Affiliate of GSK or (ii) any Third Party which contracts with GSK to undertake activities on GSK’s behalf in a country or geographical area where GSK does not have a presence such that it (or its Affiliates) can undertake such activities itself or (iii) any Third Party which contracts with GSK in the ordinary course of business, such as, but not limited to, contract manufacturers, contract sales organizations and contract research organizations, in each case in compliance with the provisions of Clause 8.1(I).

Approved Sublicensee has the meaning given in Section 2.2(a).

Approved Sublicensee means any sublicensee of the rights granted by JOE'S to ITOCHU hereunder as may be appointed by ITOCHU and approved by JOE'S pursuant to Section 11 hereof; provided that such sublicensee remains in full compliance with the terms and conditions hereof relating to Approved Sublicensee.
