Base LIBO Rate definition

Base LIBO Rate means the rate per annum, determined by Agent in accordance with its customary procedures, and utilizing such electronic or other quotation sources as it considers appropriate (rounded upwards, if necessary, to the next 1/16%), on the basis of the rates at which Dollar deposits are offered to major banks in the London interbank market on or about 2:00 p.m. (Boston, Massachusetts time) 2 Business Days prior to the commencement of the applicable Interest Period, for a term and in amounts comparable to the Interest Period and amount of the LIBO Rate Loan requested by Borrower in accordance with this Agreement, which determination shall be conclusive in the absence of manifest error.
Base LIBO Rate means, during any Interest Period, the rate of interest per annum (rounded upward to the nearest whole multiple of 1/16 of 1.0%, if such rate is not such a multiple) equal to the rate of interest notified to the Agent by the Reference Bank at which Dollar deposits in the approximate amount of the Loans to be made or continued as, or converted into, LIBOR Loans for such Interest Period and having a maturity comparable to such Interest Period would be offered by the London lending office of the Reference Bank in the London interbank market at approximately 11:00 a.m. (London time) two (2) Business Days prior to the commencement of such Interest Period.
Base LIBO Rate means the rate per annum for United States dollar deposits quoted by the Agent as the Interbank Market Offered Rate, with the understanding that such rate is quoted by the Agent for the purpose of calculating effective rates of interest for loans making reference thereto, on the first day of an Interest Period for delivery of funds on said date for a period of time approximately equal to the number of days in such Interest Period and in an amount approximately equal to the principal amount to which such Interest Period applies. The Borrower understands and agrees that the Agent may base its quotation of the Interbank Market Offered Rate upon such offers or other market indicators of the Interbank Market as the Agent in its discretion deems appropriate including, but not limited to, the rate offered for U.S. dollar deposits on the London Interbank Market.

  • Any amount not reimbursed on the date of such payment or disbursement shall bear interest from the date of such payment or disbursement to the date that the Issuing Lender is reimbursed by the Company therefor, payable on demand, at a rate per annum equal to the Base LIBO Rate from time to time in effect plus 1.75%.

More Definitions of Base LIBO Rate

Base LIBO Rate means, with respect to an Interest Period, the rate of interest per annum (rounded to the next highest one-hundredths of one percent) at which U.S. dollar deposits are offered to the Holder by prime banks in the London interbank Eurodollar market for amounts in immediately available funds approximately equal to the Principal Balance with maturities equal to such Interest Period, at approximately 11:00 a.m. (New York City time) on the day that is two Business Days prior to the first day of such Interest Period.
Base LIBO Rate for any Interest Period (or portion thereof for which a Purchaser initially funds an investment in the Series 2002-A Notes other than by issuing Commercial Paper) with respect to the Series 2002-A Notes shall mean an interest rate per annum equal to:

The Base LIBO Rate shall be rounded, if necessary, to the next higher 1/100 of 1%.

In the event that such rate is not available at such time for any reason, then the “Base LIBO Rate” with respect to such LIBOR Advance for such Interest Period shall be the rate at which dollar deposits of $5,000,000 and for a maturity comparable to such Interest Period are offered by the principal London office of Administrative Agent in immediately available funds in the London interbank market at approximately 11:00 a.m., London time, two Business Days prior to the commencement of such Interest Period.
