Baseball Press Release definition

Baseball Press Release means the announcement (in the form agreed with the Bookrunners on or before the Original Execution Date) in accordance with Rule 2.5 of the Takeover Code in respect of the Baseball Scheme by the Baseball Bidcos of all of the issued and to be issued Baseball Shares not already owned by the Baseball Bidcos.

Baseball Press Release means the announcement (in the form agreed with the Initial MLAs on or before signing of the Senior Facilities Agreement) in accordance with Rule 2.5 of the City Code on Takeovers and Mergers in respect of the Baseball Scheme by the Baseball Bidcos of all of the issued and to be issued share capital of Virgin Mobile not already owned by the Baseball Bidcos.
