Benefits and Perquisites definition

Benefits and Perquisites means the benefits and perquisites to which the Executive was receiving or entitled to receive under Section 4(c), and subject to the same restrictions regarding the modification and termination of benefits and perquisite plans set forth therein, immediately prior to the date of Termination.
Benefits and Perquisites means the benefits and entitlements set out in Section 4.2;
Benefits and Perquisites means the benefits and perquisites which Executive was receiving or entitled to receive under and in accordance with Section 4(c) immediately prior to the date of Termination (or, if greater, before the occurrence of circumstances giving rise to Good Reason), and subject to the same limitations and restrictions (e.g., regarding the modification and termination of plans, benefits and perquisites) as set forth in Section 4(c);

Examples of Benefits and Perquisites in a sentence

  • If the Company terminates Employee without Good Cause, the Company shall pay the Minimum Base Salary in effect at the date of termination, Benefits and Perquisites required by this Agreement to Employee (or his heirs or estate upon his death), to be paid when and as if they would have been paid but for the Employee's termination, for the full remaining Term of this Agreement.

  • Without limiting the generality of the foregoing, Executive shall be entitled to participate in the Company’s Executive Benefits and Perquisites Program applicable to similarly-situated executives of the Company and shall be entitled to reimbursement of financial planning services and participation in the Company’s matching gifts program to the same extent as other similarly-situated executives.

  • However, it is your obligation to pay all required taxes on any amounts and benefits provided under this Agreement, including the benefits and perquisites provided to you pursuant to paragraph 8 ("Benefits and Perquisites"), regardless of whether withholding is required.

  • Upon the Disability of Employee, the Company shall pay the Minimum Base Salary in effect at the date of disability, Benefits and Perquisites required by this Agreement to Employee, his trustee or conservator, to be paid when and as if they would have been paid but for the Employee's Disability, for the full remaining Term of this Agreement.

  • During the Employment Term, the Employer shall pay the Executive Fringe Benefits and Perquisites under the Employer`s customary payroll practices and applicable wage payment laws.

  • Upon the death of Employee, the Company shall pay the Minimum Base Salary in effect at the date of death, Benefits and Perquisites required by this Agreement to Employee's heirs or estate, to be paid when and as if they would have been paid but for the Employee's death, for the full remaining Term of this Agreement.

  • In the event Employee's termination shall be effective under this Section 4(f), the Company shall pay the Minimum Base Salary in effect at the date of termination, Benefits and Perquisites required by this Agreement to Employee (or his heirs or estate upon his death), to be paid when and as if they would have been paid but for the Employee's termination, for the full remaining Term of this Agreement.

  • In addition, you will receive Executive Outplacement Services and continue to participate in Executive Benefits Plans which includes the Health Care Plan along with "Benefits and Perquisites" described above for the twenty- four month period following your separation.

  • Executive shall also be provided the Supplemental Benefits and Perquisites set forth in Appendix A.

  • For the avoidance of doubt, the Company shall not be permitted to pay Executive, his/her dependents, beneficiaries or estate cash or other consideration in lieu of such Benefits and Perquisites without Executive’s, his/her dependents’, beneficiaries’ or estate’s prior express consent in each instance.
