Business Benefit Plans definition

Business Benefit Plans shall have the meaning ascribed thereto in Section 4.13(a) hereof.
Business Benefit Plans means any Employee Benefit Plan maintained, or contributed to, by a Seller, or any ERISA Affiliate for the benefit of Business Employees (and their beneficiaries) that are material to the Business.
Business Benefit Plans has the meaning set forth in Section 3.16(a).

More Definitions of Business Benefit Plans

Business Benefit Plans means all "employee benefit plans" within the meaning of Section 3(3) of ERISA and any other employee plans, agreements, programs, practices, policies, trusts or arrangements (whether written or unwritten, funded or unfunded, insured or self-insured, domestic or foreign (other than any schemes or arrangements mandated by a government outside of the United States)) (1) established, maintained, sponsored or contributed to (or with respect to which any obligation to contribute has been undertaken) within the last six complete calendar years by any Seller or any Seller ERISA Affiliate, on behalf of any employee, director or shareholder of the Business (whether current, former or retired) or their beneficiaries and (2) with respect to which any Seller or any Seller ERISA Affiliate has or has had any obligation on behalf of any such employee, director, shareholder or beneficiary.
Business Benefit Plans has the meaning given in Section 2.8(b).
Business Benefit Plans is defined in Section 10.1.(f).
Business Benefit Plans means all “employee benefit plans,” as defined in Section 3(3) of ERISA, and all other material employee benefit arrangements or payroll practices, including bonus plans, consulting or other compensation agreements, incentive, equity or equity-based compensation, retention, change in control, deferred compensation arrangements, stock purchase, severance pay, sick leave, vacation pay, salary continuation, disability, hospitalization, medical insurance, life insurance, scholarship programs maintained, contributed to or required to be maintained or contributed to by Seller or any of its ERISA Affiliates, providing benefits to any current or former Business Employee.
Business Benefit Plans means, collectively, the U.S. Business Benefit Plans and the Non-U.S. Business Benefit Plans.

Notwithstanding the foregoing, the term "Business Benefit Plans" shall include only those plans, contracts, policies, practices and arrangements of Code Affiliates with respect to which the Business has or could have material liability, either under the terms thereof or under the Code, ERISA or other applicable law, including, without limitation, all "employee pension benefit plans" as defined under Section 3(2) of ERISA, and all employee benefit plans which provide health or life insurance benefits after termination of employment (excluding benefits provided pursuant to COBRA).
