Examples of Business Permit in a sentence
Except as has not had and would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect, (i) neither Seller nor its Subsidiaries is in default or violation of any Business Permit and (ii) no event or circumstance has occurred which, with or without the giving of notice or lapse of time or both, would reasonably be expected to result in the early termination, revocation or material modification of any Business Permit.
No Company Party has received written or, to the Company’s Knowledge, other notice from any Governmental Authority that it intends to cancel, revoke, terminate, suspend or not renew any such Business Permit or any written or, to the Company’s Knowledge, other notice from any Person regarding any actual, alleged or potential material violation of, or material failure to comply with, any such Business Permit.
With respect to Seller, the Seller Entities and the Transferred Subsidiaries, there is no Action pending or, to the Knowledge of Seller, threatened by any Governmental Entity to cancel, revoke, suspend, modify or fail to renew any such Business Permit.
